Remove the fear of de listing and on a pe of 1 this stock will be on its way towards a quid .!!

Infact the buying has started.!!

Note a lump of debt has gone since, costs have also dived since year end.

Good news?

"One outcome of this review may, or may not, be that the Company will continue to be listed on AIM."

Review of AIM Admission

I am aware that there has been some concern among shareholders following the announcement at the Annual General Meeting on 1 November 2011 of the board's decision to seek a cancellation of your Company's admission to AIM. The board has been considering a number of options and now proposes to conduct a review, in conjunction with its advisers, the purpose of which will be to assess what changes to the Company may need to be made in the best interest of all shareholders and stakeholders.

One outcome of this review may, or may not, be that the Company will continue to be listed on AIM.

There will be a further announcement to shareholders on the progress of this review by 31 January 2012.

Maybe some of the regulars should visit the Tly thread and read your
garbage there, i seriously suggest you do the very basics course in
accounting tara, it might stop you writing complete trash on this site
when you are pump and dumping your stocks.

Keep up the good work tara. No-one can get it right every time but you've come up with some excellent picks over the years.

Tara.

All because of Agl, you got lucky, the rest have crashed, and you dont
even hold it because you never post on the thread, anybody holding a
stock that has gone up 4 fold in a month would be posting.

No good tipping a stock if you cannot hold for the gains you boast about.

You just use that stock as a excuse to pump and dump others, just like
all the pump and dumpers that operate on advfn.

Pump and dumpers!!!

Tara"s ten for 2010 produced 73%

Tara"s ten for 2011 is up 40% in this market where 90% of investors are down on the year.!!

Enough said.!!

You certainly are arrogant !

Infact that comes with the territory with advfn pump and dumpers, they
just ignore facts and carry on with the next pump and dump.

No apologies and still tara ignores facts presented by us to it about
this company.

Do you think this company would be delisting if it was making 5 million
a year tara, those profits were a one off i reckon.

I see a few on here are out to rubbish me,[after this weeks de listing news]

Note 1: when I first posted PFO India had 55% of the company, and their had never been mention of a de listing.!!!

Note 2: the market cap today is less than last years profit and 10 times less than the sector PE.!!!

Note 3: I had no idea an insider, a director, would sell out [after being invested over 10 years.]

Note 4:If the company offers 35p a share to all shareholders, any investor who bought in since my first post will be in the money.

Note 5: my point of value here has been proved by the PFO India paying 35p a share.

Note 6 The company is growing at 30% plus.

The thing is though this is not a sustainable revenue source: selling rights to a parent company. Do they have distribution rights on 50 Hindi films to sell on in the next half? I think not.

Seriously where is the next cash flow coming from?

They seem to be spending a lot of money for little return and subtracting the rights sale from revenue would give this company's balance sheet a completely different complexion.

I'm avoiding.

That "profit" is just smoke and mirrors.

Also, while Prime Focus London is a listed company, minority shareholders will have some protection e.g. from the AIM Regulatory Team. Once the company has been delisted, this protection would presumably be lost. Could this be another reason why some people wish to delist Prime Focus London?

If 35p was paid, then any bid will have to equal that in the next 6 months.
The talk of delisting doesn't bode well for this 'cos the above is part of takeover rules, not delistings.

I only had a punt-ette stake of £1K (now £400!).
Just sold at 9p; can't be bothered!

Any offer under 35p would seem very unfair in the light of the director selling at that price.

"Is it worth waiting until we see what the Company offers to take out small shareholders?"

My opinion is that it would be better to raise your concerns with the company at an early stage. This will allow your concerns to be taken into account when decisions are being made and, if necessary, the AIM Regulatory Team to be brought in before it is too late to affect the outcome. The directors may presently think that no one cares what they do. Prime Focus India making an offer to the other Prime Focus London shareholders to buy their shares at 35p each seems such an obvious and fair solution which should satisfy all the parties involved. Those who turned down the offer could hardly complain about the shares being delisted.

Thanks litte red. Yes, I agree that something is iffy here. Buying C Mills shares at 35p each should mean the other shareholders are offered a similar price...is this meant to be an arms length transaction and at fair value?

Is it worth waiting until we see what the Company offers to take out small shareholders? Only then will we know whether this is an attempt to steal the Company on the cheap or not. Does the Company def have the 75% of voting shares required in order to delist? If there are any institutions listed in the shareholders register, there's a chance they could oppose.

"Not sure what our rights are in these situations. Any advice would be useful."

It may be worthwhile for Prime Focus London shareholders to raise their concerns with the company's Nomad and the AIM Regulatory Team. There is the possibility of all Prime Focus London shareholders not being treated fairly in the recent corporate action. For example, did Prime Focus India try to "bribe" a director of Prime Focus London by buying his shares at 35p each? Would Christopher Mills, who was a director of Prime Focus London, have opposed the delisting of the shares if Prime Focus India hadn't bought him out? There's something here that smells wrong. Perhaps Prime Focus India needs a little nudge to do the right thing.

P.S. The management of Prime Focus London should probably be contacted first. It would be interesting to hear how they intend to ensure that all shareholders are treated fairly. The AIM Regulatory Team will expect you to have exhausted the other possibilities of having your concerns resolved before contacting them. My experience is that they are very helpful if you have reasonable grounds for complaint. Directors and Nomads may prefer that matters do not reach the stage of the AIM Regulatory Team becoming involved. Private shareholders need not feel totally isolated and powerless.

Indians are not all paupers. After that F1 event, this is small beer.
Holding should simply make a decent cash offer & clean up.
35p sounds realistic.

What scared me about this company that despite "huge" profits and a bullish outfit
their website did not work.

I actually rang them out and they were surprised, none of them knew the website
was not working but the last time i checked it was still not working, it just
struck me as very iffy hence i stayed away, something was not right.

Your ownership rights will not be affected by the delisting but trading in the shares will be more difficult. The honourable course of action may be for Prime Focus India to make an offer to buy the shares of Prime Focus London at 35p each. I would like to think that Prime Focus India is run by honourable people. We shall see.
