Yes I agree POG has been negative for a long time, or since they were £12 a share, or converted allowing for rights £12 X 16.7 = £200 per share, so £200 down to £0.08 it would be fair to say they have been negative for a while. But lots of other stocks in this sector moved the same way, all be it not to the same extent, but in the main have recovered a lot of their losses in the last 12 -18 months. Although POG have repeatedly over the last 12 - 18 months described how everything is now in place for a dramatic recovery, the share price still wallows at a meagre 8p. It all seems to point to something very negative lurking in the background.

I hope I'm wrong, as I would like to recover at least a little of my huge losses over the years.

Negativity shown in the share price, what like its a new thing.
Its been this way for a few years now and Id say it looks more positive for the first time in 2 years.
Renova are building a huge holding, could be looking for 30% before making an offer.
Gold is hedged so secure for the next few years, gold going higher will simply add to the value of POG. IRC is just about up to full production with the completion of the Amur bridge to bring costs down even further next year.

Definitely something going on behind the scenes, but I don't think there is anything we can do but hang in here and wait for it all to unfold. Lets hope that the negativity shown in the share price does not reflect what is going on behind the scenes and result in a negative outcome for shareholders..

Apart from the share price dropping initially due to the dumping of 100s of millions of shares? Nothing, unless there is something behind the scenes going on with the Russian government.

What would happen to POG if Renova sold their entire holding in POG.

I just skimmed through the terms of the POG $100m convertible bond, maturing March 2020, and paying 9%.

Effectively this is a preference share. The bond can be converted into regular POG equity at any time, at a specified price and exchange rate, The price is .0826p and the exchange rate is $1.51 to the GBP.

At maturity the entire bond converts into POG equity at the same price and exchange rate.

If Renova holds 225m POG shares in the form of these convertible bonds, I estimate that they own about 30% of the total bonds in issue.

It's interesting that the conversion price is reasonably close to the current price of POG shares.

I can't see much incentive for bond-holders to convert early.

According to my notes Renova controls 813,538m shares.

225m shares are owned via the convertible bond trade in Luxembourg, which entitles Renova to voting shares when converted.

It would be useful to read the terms of this bond.

Free stock will be a lot tighter especially if an assault on 30% is made.
I expect the next 6% will cost Renova more.

'The price has to be at or above the highest price it paid in the last 12 months when acquiring those shares.'

Since the share price has consistently failed to break 9p, I suppose that means the company could be acquired for 8p?

It stinks to high heaven! No wonder this has been manipulated. It has been held back forcibly and deliberately, unlike KAZ or HOC or even IRC which have been allowed to fly!

You learn something everyday! Thanks. Do you ever get a cases when someone takes their holding to 25-29% and then just "sits on it".. !?

Any shareholder that acquires shares that control 30 per cent or more of the voting rights in a company must make a cash offer to the remaining shareholders of the company. The price has to be at or above the highest price it paid in the last 12 months when acquiring those shares.

Yep, 30% is the number.
Also looking at pre rights, am I not right in thinking the share count is 16.7x higher currently.
Pre rights was 197,638,425
Currently 3.3b

Making 20p, 334p

shaf

I think the rule is that if a shareholder gets to 30% then they must make an offer for the whole company.

23% is a big state of course. .. but I would have thought around 40%+ we can think about potential takeover?

To be fair fozdad, they have been buying POG shares for the past 12 months.

I would be surprised (pleasantly) if they launched a bid. To me they just want to be a partner / influence and see a seriously undervalued company (ie good investment). They have around 23%.

Full results are out on the 26/4. I think the share price will bob about around these levels until then, but WTFDIK.

Shaf,

The last two RNS's clearly indicate significant stakebuilding by a potential buyer
