What it roughly means is that there are no undisclosed material facts or news of which the Board is or should be aware. However, unpredictable (from the bod's pov) events are always possible at any time - perhaps tomorrow - which may constitute critical news. Such events range from the HQ burning down to an unsolicited t/o bid, the CEO suffering a heart attack etc. Of course, the whole area of insider knowledge has so many shades of grey that a precise definition is impossible - e.g. a member of the board being seen in a certain location or travelling to a certain destination can lead to intelligent speculation of possibilities or probabilities.
