so at a time when he told s'holder he was moving heaven and earth to get funding, he'd already changed his LI profile to show he wasn't connected with it any more?

It seems like as soon as PRG was suspended he just gave up and walked away. That would explian why, as I point out in my letter, when he appeared at Mines & Money he was billed as Titanium, not PRG (and what was the tile of his presentation, can anyone remember? Wasn't it something like "how to make a fortune in the diamond market"? this from a man whose DIAMOND-MINING COMPANY had been suspended 6 weeks before)...

All very very clear evidence of mala fides, acting in bad faith contrary to what he was telling PRG shareholders...

Are you serious has PM posted that recently.

Simon Retter.

Company secretary and CFO of Horizonte Minerals since September 2016.

So a complete lie if that has been said. Not Simon's fault of course with someone else making such claims



Prior to that

Mr. Simon James Retter has been Finance Director at Vertu Capital Limited since July 21, 2016.

Hmmmm

Hang fire fellas on those loan notes.

The Lesotho news suggested the award of Lemphane is to be around mid March.

So what happens in hyper space have given up the note entitlement if ((Most likely) they don't get Lemphane as then you have share of nothing at all.

Wait for the outcome of that before rash decisions are made imo.

Surely there is no rush. Is it the dumping of potential liability that is trying to be played by PM in case they don't get Lemphane. Perhaps he already knows if they are out of the running.

So confirms we have all lost our money apart from a 'privileged few'. You would think this cant be legal setting up a new company but in AIM I would not be surprised.

CS - If I had a pound for every time you 'filtered' someone, I suspect I'd have enough to buy a diamond mine......Does your filter function actually work? The number of times you filter people only to respond to their posts, inevitably followed by a re-filtering of the same person, seems strange to me. Was it you who said in an earlier post that insanity is repeating the same thing over and over again whilst expecting a different outcome....

Offence under section 451 of the Companies Act 2006

Section 441 of the Companies Act 2006 states:

441Duty to file accounts and reports with the registrar
(1)The directors of a company must deliver to the registrar for each financial year the accounts and reports required by—
• section 444 (filing obligations of companies subject to small companies regime),
• [F1section 444A (filing obligations of companies entitled to small companies exemption in relation to directors' report),]
• section 445 (filing obligations of medium-sized companies),
• section 446 (filing obligations of unquoted companies), or
• section 447 (filing obligations of quoted companies).

Section 451 of the same Act states:

451Default in filing accounts and reports: offences
(1)If the requirements of section 441 (duty to file accounts and reports) are not complied with in relation to a company's accounts and reports for a financial year before the end of the period for filing those accounts and reports, every person who immediately before the end of that period was a director of the company commits an offence.

Paragon was active during the tax year 2015-2016. It was suspended on November 16th 2015, and as such should have submitted accounts for the period at least up to the point of suspension. Neither I nor any other shareholder have been able to find any record of such accounts being filed with the appropriate authorities. No such accounts appear to exist.
