I partly post on public msg. board as well as OCH AG website....because I want to publicise this petition under section 994 of Companies Act....to anyone reading....so that any shareholder group can be aware...and can consider the possibility of requiring a company to take legal action against its directors.... the legal finer points...I dont know....but looks like an interesting/useful lever...since the company would pay the legal costs (noting that a small legal case may be needed to force the company to take on such legal action...) | markt | |

17/2/2013 18:17 | Hi Timtim fair point....I've already done that as well.... --- .....the number of cases of dubious/dodgy actions by directors at London Listed companies...depressi (another one I've seen recently...the dirs. have made an offer to buy the company....after a long slide down in the share price ...which of course they did nothing to stop, since in their favour to buy the co. as cheapily as possible... and at small caps. it is quite common for dirs. to de-list a co. and they pick up the shares cheap as PIs sell up as they dont want to be in an unlisted co....and no one else does either, especially if the dirs. will control the co.) | markt | |

17/2/2013 16:31 | BTW it is an interesting point imo that at MWB/MBE the directors managed to construe for themselves complicated benefits packages....and also related party transactions...and were also significant shareholders.... ie. the same as at OCH and at both companies ...the companies went into administration.....w and at MWB/MBE legal cases have started against the board of directors... (and in my opinion the same will happen at OCH....once organising and/or funding of legal processes can take place) At MWB ...a large shareholder has paid to submit a case to the UK courts....but they appear to be asking that the company pays for the case.... imo the OCH action group should consider to do the same, ie. request that OCH Plc takes legal action against its bod (ie. that OCH assets are used to pay the costs). | markt | |

15/2/2013 16:11 | before I forget at MBE a major shareholder is taking legal action.... in the wording it looks like it is trying to get the company to take legal action ...against directors..and has submitted a legal claim to the courts..in that case the cost would imo be born by the company and not the aggrieved shareholder... the OCH action group should look at doing the same imo...(ie. avoiding the burden of legal costs...but still putting forward a case to the courts) | markt | |
