(LSE:BLZ) ("Emblaze" or "the Group") ACQUISITION OF ORCA INTERACTIVE LTD BY VIACCESS S.A., a subsidiary of France Telecom Ra'anana, Israel, 10 March 2008 - Emblaze announces that its group company, Orca Interactive Ltd. ("Orca") (LSE:ORCA), a developer of middleware and applications for IPTV, has agreed the terms of its acquisition by Viaccess S.A., a wholly owned subsidiary of France Telecom SA, through a cash merger (the "Merger"). The transaction is structured as a merger under the Israeli Companies Law 1999 (as amended) and is not subject to the City Code on Takeovers and Mergers. The Merger consideration consists of an amount of US$13 million plus Orca's net cash as of the closing of the Merger. The price per share to be payable to each holder of ordinary share or a depository interest of Orca shall be paid in a number of installments based on the total Merger consideration. Subject to adjustment in accordance with the terms of the Merger agreement, it is expected that the total Merger consideration to be approximately US$21.4 million, which equates to a value per Orca share of approximately US$0.59 (approximately £ 0.29). Orca has gross assets of US$15.9 million, and made a net loss of US$4.3 million for the year ending 31 December 2007 The merger is subject to the approval of Orca Shareholders at a general meeting convened for 15 April 2008. Subject to closing, Emblaze expect to record capital gain from this transaction of approximately US$4 million for the first half of 2008. Proceeds from the transaction will be used for working capital purposes for the Group's portfolio companies. 04/3/2008 08:51 | Forest can not buy on inside info if there will be a quick sell to a USA company. And if they really know some news it will be still a year away. Just to give time between the buy and the inside info. What is possible? They buy shares to sell them later to a company that wants to buy Orca at a low price that Emblaze doesn't want to sell to. But the "other company" has to accumulate at least 30% of all the shares outstanding, this means almost all the shares of the personal investors that are out there. If they are the only interested company to buy Orca they can affort to wait some time because Orca is still losing money. A year of more losses will bring the price down on its own. And if they use a simillar buy out of the business and technology as with adamind, boy o boy it will be a long time to wait before you get any money back! | eenmakkie | |

01/3/2008 14:49 | FWIW, liquidity in ORCA shares has been historically pathetic, however within the last week this has improved as somebody wants the shares. Previously, you could not sell 1000 shares @bid price of 12p, the mm's would only buy for 10p. However now you can sell for 16.25p but still only 15k shares. My guess is there is small demand from P.I's only. | ericthecat | |

01/3/2008 14:15 | No last time I spoke commverse were not in the running as they had just gone through re-structuring and M&A were out of the question, so it will not be them. My guess is a US company, I believe there is only 1 interested and so there will not be an auction, I will stick by my 25p take out. Ideally you would want Cisco or IBM but do not think it will be them. The only way it will be more than 25p is if somebody has come to the table in the last month. | ericthecat |
