   EMPLOYEE BENEFIT TRUST ("EBT") TRADING PLAN 
 
   Novae Group plc (the "Company") announces that the trustee of the EBT 
(the "Trustee"), has entered into a trading plan with the Company. The 
Trustee has absolute discretion and independence in respect of all 
trading decisions it may make in respect of the purchase of ordinary 
shares pursuant to the trading plan. 
 
   Under the trading plan, in the period running from 16 December 2016 to 
16 June 2017, the Trustee will instruct Canaccord Genuity Limited as 
broker to acquire up to a maximum of 400,000 Ordinary Shares of GBP1.125 
each in the Company for the EBT. While the Company is within a closed 
period, neither the Company nor the trustee will attempt to terminate 
the trading plan which has now been entered into. 
 
   Any purchases made by the Trustee will be announced to the market at the 
appropriate time. 
 
   The executive directors and persons discharging managerial 
responsibility of the Company, together with other employees, are 
potential beneficiaries under the EBT and are therefore treated as 
having an interest in such shares. 
 
   The Company's issued ordinary share capital consists of 64,425,640 
Ordinary shares of GBP1.125 each. 
 
   This notification is made in accordance with Rule 3.1.4(1)(a) of the 
Disclosure and Transparency Rules.
