   Director / PDMR shareholding 
 
   Vesting of awards made under the Deferred Bonus Plan 
 
   The executive directors have acquired ordinary shares of GBP1.125 
("Shares") in Novae Group plc ("the Company" or "the Group") as a result 
of the vesting and release of awards made under the Deferred Bonus Plan 
("DBP"). In addition, one PDMR, R Forster has acquired Shares as a 
result of the vesting and release of deferred bonuses which were payable 
in shares. 
 
   The share awards are subject to income tax at the recipient's marginal 
rate of 45% ("Tax") and employee's National Insurance contributions 
("NIC") at 2% on the value of the Shares. The Shares sold to cover Tax 
and NIC were sold in London on 8 April 2016 by the Trustees of the 
Employee Benefit Trust at GBP8.73 per Share. Upon receipt, M Fosh has 
transferred the net Shares received and these no longer form part of his 
disclosable interest. R Forster has transferred the net shares received

   Employee Benefit Trust holdings 
 
   The Trustee has today notified the Company that following the 
transactions the Trustee holds a total of 1,556,724 Shares, representing 
2.41% of the Company's issued ordinary share capital. The executive 
directors and PDMRs of the Company, together with other employees, are 
potential beneficiaries under the trust and are therefore treated as 
having an interest in such Shares. 
 
   The Company's issued ordinary share capital consists of 64,425,640 
Ordinary shares of GBP1.125.
