Resolution 3 – reduction of share premium account This resolution is the first step to approve the cancellation of the Company’s share premium account. The Company must subsequently seek court approval for such cancellation but cannot do this without shareholders’ prior support. The amount by which the share premium account will be cancelled will then be credited to a reserve. Your Board is proposing this resolution in order to expedite the payment of dividends in the future. Without this court-sanctioned exercise, shareholders are unlikely to receive any dividends until the accrued losses of the Company are offset by retained profits. For the sake of clarity, shareholders are in no way disadvantaged by this proposed action. To facilitate the future distribution of dividends to shareholders, the Company is, therefore, proposing to cancel its share premium account (which, on the basis of its audited accounts for the year ended 31 December 2014, is an amount equal to £24,133,083). This will create a reserve of the same amount that can be set-off against the deficit, reducing that deficit to £1,116,914. If resolution 3 is approved at the GM, the Capital Reduction must then be confirmed by the Companies Court and an initial hearing is expected to take place on 10 March 2016, with a final approval hearing scheduled for 23March 2016. In seeking the Court’s confirmation, the Company may be required to give such undertakings or other form of creditor protection as the Court may require for the protection of the Company’s creditors. This may include seeking the consent of the creditors to the Capital Reduction and/or the provision by the Company to the Court of an undertaking to deposit a sum of money into a blocked account created for the purpose of discharging the Company’s creditors. 04/2/2016 16:31 | fatfish, take a look at the worked example on the website. your maths is wonky. Astonas is correct. Its the nominal value of the share that has gone from 1p to 40p. That isn't dilution,instead of 40 shares at 1p you now have 1 share at 40p nominal value. | yohoho |
