Last, but by no means least, Simon Purkiss of European Nickel stepped up to the podium. European Nickel has had its ups and downs, but there's never been a shortage of things to say about the company, which has been working up nickel project in Turkey for many years. A long-cherished forestry permit was finally granted not so long ago, only to be temporarily revoked again by a local judge. The company is now waiting for a new law to be signed off by the Turkish president. Meanwhile, it's merged with Rusina, and Rusina chief Rob Gregory will take up the lead operations role, as the company pushes on with the development of its Turkish and Philippine projects.

Hovering around in the background, but happy to talk over beer and sandwiches at lunch was Reg Eccles, of Toledo, London's other listed nickel laterite developer. There's no further merger on the cards as regards Toledo and European Nickel, reckons Reg, and the appearance of Toledo's newly appointed chief operating officer, Ken Stein, by his side seemed to go some way towards confirming that view.

From ENK thread

metex - 3 Jun'10 - 09:00 - 3110 of 3112

Giant Steps....while ENK investors await the passing of the Mining Law in the Turkish Parliament....they should still consider the overall picture....going forward....especially when ENK management had chosen earlier....to invest a considerable sum of money....in TMC and Berong.

Still strongly believe....TMC will be "the next cab off the merger rank"....within the next 12 months or so.

If company A....was going to swallow Company B....down the road....it doesn't really matter ....if Company A reduces any stake it already has in Company B....in the short term....because of a cash flow issue...."a la" ENK's holding reduction in TMC.

ENK has still got a 23% stake in Berong....hence swallowing TMC next....would give new ENK a....56% + 23% = 80% ish stake in Berong....and a much better company structure....to take a project like Berong forward.

It then definitely helps a little....if such a TMC merger....is on the minds of the new management at ENK....that the majority of senior management at TMC....are old ENK associates.

Company structures are far easy to sort out....one at a time....as Rob Gregory found at Rusina in the early years....trying to put ENK/RMLA/TMC together in one go....could have proved nigh on impossible....a step by step approach....could just do it.

True the Caldag funding issue....has had a high profile....over the last 15 months or so....but the respective managements at ENK/RMLA/TMC....have had more than enough time....to dedicate to other issues too!....so won't be too surprised to see TMC joining the new ENK fold....at a time when Caldag construction gets under way....and Acoje seeks funding....DYOR

RNS 2nd June 2010 by RMLA

Reminder

"
Following merger completion, the merged entity will have a nearly financed project in Turkey, subject to forestry permit re-issuance which is expected shortly. It will also have the Acoje nickel laterite heap leach project in the Philippines, a permitted robust alternate project that could be fast tracked to production due to synergies in design allowing all long lead items already purchased for Çaldağ to be transferred to Acoje should the need arise.

Caldag Chinese financing - it's over for now; preference now on Western Banks

More delays, more uncertainty

Is this a PR disaster for ENK ?
Can ENK management be trusted ?
What implications for the ENK/RMLA completion ?
New implications for Toledo, will tripartite occur ?

ENK AGM presentation 29th March 2010

Merger Rationale
Compelling Business Logic

* Appropriate timing: Ahead of DFS and development decision
* Consolidates JV into simpler corporate structure
* Secures Acoje's future & solidifies ENK's presence in the Philippines
* Enables cost savings: rationalisation of administration, financial synergies
* Strengthens management team
* Marries Rusina's Philippines experience with ENK's technology "know how"
