NewRiver Retail Limited ("NewRiver" or the "Company")
Exercise of Warrants & Total Voting Rights
The Company has received a notice to exercise warrants over 37,275 ordinary shares of no par value ("Ordinary Shares") at an exercise price of 148 pence per Ordinary Share. Accordingly, the Company has applied to the London Stock Exchange for the 37,275 Ordinary Shares to be admitted to trading on AIM ("Admission"). It is expected that Admission will occur at 8.00am on 12 August 2016. The Ordinary Shares will rank pari passu with the existing ordinary shares in the Company.
Following the exercise of the warrants, NewRiver's share capital will consist of 238,588,536 ordinary shares of no par value, of which 5,075,111 ordinary shares are held in treasury. The total number of voting rights in the share capital of the Company, excluding treasury shares, is therefore 233,513,425.
The above figure of 233,513,425 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
Following the exercise, the total warrants outstanding currently have rights to subscribe for 376,849 shares.
