Techinvest comments:

"The share price rose strongly during the month as NetDimensions confirmed it had received an unsolicited approach regarding a potential takeover offer. The company emphasised that there can be no certainty that an offer will be forthcoming or as to the terms on which any offer might be made. The shares were trading around the 40p mark
immediately prior to the announcement.
We have long been a fan of the company and made the shares a new buy at 34p in September. NetDimensions is also a core holding in Trader Portfolio 4. Await developments"

30 days is far to short, especially if there is more than one interested party. Assuming Conoley has been appointed to oversee the independence of the auction process, then these type of transactions usually take between 2 – 3 months minimum.
IMO, need to patient

Yes, I thought exactly the same. John Conoley is a relatively pretty big hitter for such a small company like NetDimensions, which implies that perhaps the main shareholders (e.g. Hargreaves Hale) do not fully trust the exec board to run a competitive auction.

Obviously there could be numerous reasons why this might be the case, but one may be that the executives are thinking of an MBO themselves. Anyway who knows, but IMO holding on seems to be the best strategy at the moment.

No, I don't think they need to say whether there are anymore interested parties, having disclosed the company is under offer. The information is already in the public domain.

Or indeed more possible interested buyers maybe coming out the woodwork.If that's the case, then I wouldn't expect any news for at least another 2 months in order to run a competitive auction process.

Has anyone got any thoughts why Jay decided to do a webcast whilst the company is an offer period? Seems an unusual tactic given regulatory concerns. Also I guess it probably means he isn't considering an MBO?

MFM Techinvest Special Situations Fund added to their holding:
The Fund added to its position in NetDimensions during September. The Company saw active users rise to 4.2m in the six months to June 30, compared to 3.9m the prior year. It is transitioning clients to a higher margin SaaS model and 70% of revenue is recurring. The timing of the addition proved opportune as the Company subsequently released an announcement that it had received an unsolicited approach regarding a potential transaction, which may lead to an offer being made for the Company.

Hi Tarrannt - Volumes are relatively light at £100k worth/day - indicating to me at least that the market still has no real clue where any possible takeover deal might be pitched. Personally I suspect the preliminary approach is probably more opportunistic (eg MBO or VC) than strategic, but it could draw out more established trade players who may be willing to pay a much higher premium.

All speculation though - IMO, time to be patient

Market obviously either believes that either a deal will not happen, or if it does, that it will be at a price of circa 60p, otherwise why would lots of people be selling at circa 55p.

Except another rise today! Takeover price could see £2 IMO! Sp without takeover very low broker target £1.90 I'm topping up! Risk reward! In my favour! Anything under £1 still cheap! Gla! 🤒
