   Mothercare plc announces that awards under the Mothercare 2012 Long Term 
Incentive Plan were made to the following directors/persons discharging 
managerial responsibilities on 8 August 2016 in the form of nil cost

   The awards will vest in whole or part subject to the achievement of 
stretching corporate performance conditions. The performance measures 
are 50% total shareholder return (TSR) measured against a comparator 
group and 50% earnings per share (EPS).  50% of the awards will vest 
after the third anniversary of the award date and 50% of the awards will 
vest after the fourth anniversary of the award date subject to meeting 
performance criteria. 
 
   No consideration is payable for the grant of these awards.
