Merlin Entertainments plc completes offering of its EUR200 million 2 3/4 % Senior Notes due 2022

Merlin Entertainments plc ("Merlin" or the "Company"), today announces that it has closed its offering of EUR200 million aggregate principal amount of its euro-denominated 2 3/4 % Senior Notes due 2022 (the "Notes"). The Notes bear interest at an annual rate of 2.75% and were issued at 103.5% of their nominal value. The Notes were offered as additional notes under the indenture dated 19 March 2015 pursuant to which the Company issued EUR500 million in aggregate principal amount of its euro-denominated 2 3/4 % Senior Notes due 2022.

The Notes were offered in a private placement and there will be no public offering of the Notes. The Notes were offered and sold only to non-U.S. persons outside the United States in offshore transactions in accordance with Regulation S under the U.S. Securities Act of 1933, as amended (the "U.S. Securities Act").
