Just had phone call from some scammer with a US accent. He has a client that needs my Mediwatch shares to complete a takeover and will pay £5 per share. Brilliant ! I didn’t wait for the details.

Mt TDW account shows the amount but appears not to be usable until the 'settlement date'

Poker Club thread, must have a look at that Trout...especially to see how you are managing to fill your time now you don't have to research MDW :-)

Consider the lights turned out....although I have left the news section in the header for the moment.

Hi Barry, I am not sure there will be much call for the Non Execs, they may be given a bit of 'consultancy' work, but Mark Emberton only made a handful of board meetings at MDW anyway, they won't need CC and Omer will probably be busy on his private work.

MH will be used until they get the transition sorted and then I am sure Laborie's finance guys will takeover.

Not to worry, one chapter closes and another opens...have a look out for a new 'Poker Club' thread.

Just a heads up, the court case should be happening today and if all passed the shares will be suspended as from tomorrow.
We should see payments around the 10th February, so if you need any extra money between now and then (tax bills, etc), be aware the MDW money box will be closed from tomorrow onwards.....

Didn't expect many no votes, don't think anyone was keen to see us back at 2.5p range again.....T-Doc was the nail in the coffin......

Morning to Barry and all other well stuffed MDW holders !
Very surprised at the 'no' element, thought it would be much bigger, still, imagine people just accepted what they saw as the inevitable.
Let's just hope that the New Year brings a little more joy - shouldn't be difficult with no MDW to worry about !

Troutisout....To be totally fair that was not aimed at you. It just amazes me that after thousands of posts over the years and lots of conjecture on here nobody at all attended the EGM and final curtain.

David, A little unfair, the timing always meant most people weren't going to be able to make it.

Having gone to many GMs I am not sure what could have been said and what replies we would have got.

I did manage to have a conversation with some of the Directors just after the scheme was announced. I had e-mailed the Company with some questions after the approach was announced, I believe that other holders that sent e-mails also got a call. Anyway I had a frank discussion and by the end I was satisfied that this was the best deal. You know I had spoken with some of the Institutions and other large holders, so had an idea of their views and why.

I wished the offer was higher, but from where we started I can see why 6p was the limit Laborie would go for, also it is important to say that their first offer was much lower and the BoD haggled to get it higher. However the T-Doc revelation really meant that Laborie had a hold on MDW and so the company really didn't have much more leverage.

Anyway whatever is said many will always believe something else, I hope to get down to a Mello event next year and meet up with you and some of the other investors, have a very Happy Christmas,

Results of the Court Meeting and General Meeting

23 December 2013

On 18 November 2013, Laborie and the Independent Directors of Mediwatch announced under Rule 2.7 of the City Code that they had agreed the terms of the recommended acquisition of the entire issued and to be issued ordinary share capital of Mediwatch by Laborie, to be effected by means of a scheme of arrangement of Mediwatch under Part 26 of the Companies Act 2006 (the "Scheme").

A circular containing, amongst other things, notices of the Court Meeting and the General Meeting, details of the Scheme and the terms and conditions of the Acquisition was posted to Mediwatch Shareholders on 29 November 2013 (the "Scheme Document"). Unless otherwise defined, all capitalised terms used in this announcement shall have the same meaning as in the Scheme Document.

The Mediwatch Directors are pleased to announce that the resolution relating to the approval of the Scheme was today passed by the requisite majority at the Court Meeting and the special resolution to implement the Scheme was also passed by the requisite majority at the subsequent General Meeting.

The number of Mediwatch Shares in issue at 6.00p.m. on 19 December 2013 was 140,871,032.
