Notice of AGM and Board Changes

Matomy Media Group Ltd. (LSE: MTMY, TASE: MTMY.TA, the "Company" or "Matomy"), one of the world's leading digital advertising companies, announces that it has today posted to shareholders notice of the Company's annual general meeting ("AGM"), to be held at 08:00 (London time) / 10:00 (Tel Aviv time) on Tuesday, 10 January 2017 at the offices of the Company in Tel-Aviv. The notice of AGM can also be found on the Company's website at www.matomy.com.

The Company also announces that Rupert Howell, Non-Executive Chairman, and Nathalie Schwarz, Non-Executive Director, have notified the Board that they will not stand for re-election as directors of the Company at the AGM. As a consequence, Mr. Howell will cease to be a director of the Company on 10 January 2017, immediately following the Meeting and Ms. Schwarz will cease to be a director of the Company following this announcement.

The new chairman of the Board will be appointed by the Board following the AGM, in accordance with the Company's Articles of Association.

Commenting on his decision not to stand for re-election, Mr. Howell, said "Since taking over the Chairmanship in December 2015, I have helped create a strong, unified Board and, with them, set a strategic direction for Matomy that is already proving successful. With the centre of gravity of the business not being in London, it makes sense for others to take the company forward into a bigger future."

Commenting on today's announcement, Mr. Beit-On, Non-Executive Director and Deputy Chairman, said: "On behalf of the Board of the Company I would like to thank Mr. Howell and Mrs. Schwarz for their valuable and highly professional contribution to the Board. I want to especially thank Mr. Howell for his leadership as Chairman during this challenging period. I wish both of them all the best in the future."
