Result of General Meeting

Marlowe plc ("Marlowe", the "Company" or the "Group") confirms that, at the General Meeting held today, all resolutions proposed were duly passed.

Accordingly, further to the announcement of 8 September 2016, the Company confirms, subject to among other matters admission becoming effective, it will on 27 September 2016 issue and allot 2,888,187 new ordinary shares of 50 pence each ("New Ordinary Shares") at 170 pence per share. This represents approximately 10.5 per cent of the enlarged share capital, raising GBP4.9 million (before expenses) to repay a portion of the company's existing revolving credit facility with Lloyds Bank, provide funds for further acquisitions as part of Marlowe's ongoing buy-and-build strategy and provide working capital for the Group.

Following admission of the new ordinary Shares, the Company's issued share capital carrying voting rights will be 27,466,995. Trading in the new ordinary shares is expected to commence at 8.00 a.m. on 27 September 2016.
