Director/PDMR Shareholding

Further to the announcement of the Placing, the Company notifies that, on 12 July 2017, Nigel Jackson, Executive Director, agreed to sell 1,000,000 Ordinary Shares of 50 pence each in the capital of the Company at a price of 385 pence per share, in order to satisfy excess demand from institutional investors. Mr Jackson was the sole shareholder of Fire & Security (Group) Limited, which was acquired by the Company on 1 April 2016 pursuant to the Acquisition Agreement and Lock-In Agreement described in the Admission Document dated 29 February 2016. The sale of Ordinary Shares is expected to complete on or around 31 July 2017.

Following completion of the sale, Mr Jackson will hold 2,500,000 Ordinary Shares, which will represent approximately 7.23 per cent. of the Enlarged Share Capital of the Company, subject to approval of the Ordinary and Special Resolutions set out in the Circular which is expected to be posted to shareholders today. Capitalised terms used, but not defined in this announcement shall have the same meaning as set out in the Circular.
