04/9/2008 23:01 | It could simply be a jiggle for stop-gap working capital. Still they would of had to find buyers. Well this listing almost defies logic - given the apparent expense of it. I wonder how much cost of the circa £350,000 to write these clauses and paragraphs that meaning nothing on the field. LOL. Anyway things are poised to happen here or they are not. | officerdigby
04/9/2008 22:37 | OD, I could not find any further definition in the document as to what these circumstances were when out of curiosity I looked a few weeks back. | mike111d
04/9/2008 22:30 | Davew, I think I understand that we wouldn't see the JH/PH/Billam sale as the shares were never turned, rather what we saw was the buy at 0.15??? So there is a period of time b4 you see who is the buyer. Lock-in Agreements David Elstein, Lord Steinberg of Belfast and the members of the Concert Partywill, following Re-Admission, in aggregate, have an interest in 68.60 per cent. of the Enlarged Share Capitaland have given undertakings to Grant Thornton and to Dowgate not to sell, charge or grant any interests over any Ordinary Shares held by them (subject to certain exemptions) during the 12month period commencing on Re-Admission except in certain specified circumstances. In addition, they have undertaken to Grant Thorntonand to Dowgate not to dispose of any interest in Ordinary Shares for a further 12 month period unless they consult with the Company's broker prior to any disposal and to make any such disposal through the Company's broker in order to maintain an orderly market in the Ordinary Shares. Further details of the Lock-in Agreements are set out in paragraph 11 of Part VI of this document. (paragraph 11 of Part VI) 11.5 Lock-in and Orderly Marketing Agreements The members of the Concert Party together with David Elsteinand Lord Steinberg of Belfast have entered into agreements with the Company and the Broker under which they have each agreed not to dispose of any Ordinary Shares for a period of 12 months following Re-Admission except in certain limited circumstances including in the event of an intervening court order or pursuant to the acceptance of, or execution of an irrevocable undertaking to accept, a takeover offer in relation to the Company's share capital from an unconnected third party offer or whether announced or not, and for a further 12 months not to sell except through the Broker (or other broker to the Company) in the period of 12months following the initial lock-inperiod, provided that the Broker (or such other broker) offers competitive terms. Make of it what you will but apparently the certain limited circumstances rule has kicked in to allow JH/PH Billam to sell. | officerdigby
04/9/2008 14:28 | What does this mean? Does this imply that there is a lot of demand for the share as if this was the case why the drop from 0.5p when trading commenced? Sorry for the noddy Q? Or is there demand in the market which is why these shares were sold to allow someone to pick up the 33M? Thanks TD74 | td74
04/9/2008 14:21 | LOL so much for the concert party. | officerdigby
