Purchase of Own Shares and Total Voting Rights

LMS Capital plc (the "Company") announces that, in connection with a Tender Offer (the results of which were announced earlier today) on 1 September 2016, the Company purchased 7,142,857 Ordinary Shares at a price of 84 pence per Ordinary Share. These 7,142,857 Ordinary Shares have been cancelled (and none have been transferred to treasury).

Following completion of the Company's Tender Offer and associated Repurchase, the Company's issued share capital consists of 96,441,735 Ordinary Shares of 10 pence each, each carrying one voting right. The Company holds no Ordinary Shares in treasury.

Therefore, as at 1 September 2016, the total number of voting rights in the Company is 96,441,735. This figure may be used by shareholders as the denominator for the calculations by which they determine if they are required to notify their interest in, or a change in their interest in, the Company under the Disclosure Guidance and Transparency Rules of the Financial Conduct Authority.
