Hopefully there are some who are still interested in LVRT.
Today's announcement seems positive at least from the headline which reads:

"Levrett plc, a Company formed to acquire a target company in the pharmaceutical and biotechnology sector, is pleased to announce that it has entered into a conditional agreement to acquire the entire issued share capital of Nuformix Limited ("Nuformix") for a total consideration of £12,000,000 to be settled through the issuance of new ordinary shares in the Company at a price of 4 pence per share (the "Acquisition"), subject to Shareholders' approval and Re-admission (as defined below). In addition, the Company is today announcing the Placing, under which it has issued 57,500,000 Placing Shares at 4p per share, raising £2.3 million, conditional, inter alia, upon Re-Admission."

Some reward from my remaining investment in LVRT over and above the return of the amount invested would be good. Hopefully re-listing on LSE will give a decent return - eventually.

The time limit is a year I think jd. There would be an RNS upon delisting if that is the way it goes.

Bear in mind the RNS as recently as April 2017:

"Levrett, a Company formed to acquire a target company with realisable or developed commercial technologies in the pharmaceutical and biotechnology sector, announces that it has entered into a Convertible Loan Agreement for £200,000 ("Loan") with a private investor.

The Loan is for a fixed term of 12 months and carries interest at 9% per annum, which the Lender can elect to convert. The Loan is convertible into new Ordinary Shares in the Company at a price of 4 pence per share ("Conversion"), and following Conversion the Lender will be granted a one-for-one warrant to subscribe for new ordinary shares at 4 pence per share, exercisable for a period of three years from Conversion. Under the terms of the Loan, the Lender will advance the total sum to the Company within three business days.

The proceeds from the Loan are to be used for general working capital and to support Nuformix Limited in the short-term pending completion of the potential reverse takeover as announced by the Company on 16 September 2016. The acquisition remains conditional, inter alia, on consent from the UK Listing Authority for the readmission of the combined entity to the Standard List."

Even if they do de-list all may not be lost. Last time I tried telephoning though getting through to someone who knew about issues was impossible so I am reluctant to try again. A call is unlikely to make any difference especially as there are only a couple of weeks now to announce the RTO etc or delist - either way an RNS soon in any event.

I have sent an email to the PR/media people so now await their reply. If they are as forthcoming as LVRT then silence will essentially mean dead in the water (all imho).

The relevant LVRT RNS last year stated:

"The Acquisition, if it proceeds, will constitute a Reverse Takeover under the Listing Rules since, inter
alia, in substance it will result in a fundamental change in the business of the issuer.
As the Acquisition will constitute a Reverse Takeover under the Listing Rules, trading in the
Company's ordinary shares have been suspended (pursuant to Listing Rule 5.3.1) with immediate
effect pending the publication of a prospectus and the application for the enlarged Company to have
its ordinary shares admitted to the Official List and to trading on the main market for listed securities
of the London Stock Exchange.
The Company is working on the preparation of a prospectus in relation to the Acquisition and will, in
due course, be making application for the enlarged Company to have its ordinary shares admitted to
the Official List and to trading on the main market for listed securities of the London Stock Exchange.
The Company will update shareholders as the matter progresses."

If there has been any significant change in the above another RNS would surely have been issued?

Still the companies are cutting it pretty fine now.

You are being a little harsh in my view as LVRT rather than JD, are probably being obscure - why no updating RNS so far from the co for example?

Still if there is an RNS essentially confirming the RTO next week, probably all holders will be content.

If no RNS next week the fault would hardly lie with JD.

I'm no company law expert but assuming that the company has to give 14 days notice of an egm, LVRT really has until the end of August to get on with it.

My guess is that jimduggen was told "next week" whereas strictly he should have been told something like "shortly - before the end of the month."

Anyway "next week" should now clarify one way or the other so good luck all.

Assuming that the RTO takes place, my expectation is that the existing no of LVRT shares will be increased substantially but with current LVRT shareholders benefiting from the new shares in proportion to their current holdings.

Hopefully the value of the new shares will mean that existing LVRT shareholders see gains from the RTO but given that the new shares will be traded on AIM, there can be no guarantees about share price until trading commences and prospective new investors have been able
to consider the prospectus and other info on the new co.

Presumably the new co will have an new name and its shares a new EPIC.

All the above is subject to the RTO going ahead and is imho!

LVRT shares have been suspended from trading since September 2016 pending RTO. A little difficult for those holding since then to do much else or avoid as you suggest at this time!

Shortly before the LVRT suspension the share price soared N which emabled holders to take some good profits.

Cant speak about CTAG though.

I am no expert. My guess is though that the directors of Nuformix will wish to see considerable new capital in the combined co.

Forming a new LSE or even AIM co is very expensive prohibitively so for many small companies. Using an existing clean shell co like LVRT may be a cheaper and speedier way in.

Obviously LVRT's owner/shareholders even existing PI shareholders, will need to benefit but I imagine the key is to raise substantial funds for Nuformix in respect of which both cos will need advice as to the numbers of new shares to be issued bearing in mind the need to secure a fair opening price on the AIM market.

For existing LVRT shareholders the combined share price needs imho, to be at the equivalent of 4p+ as that was the share price before suspension.

The "equivalent" share price will of course depend upon the number of new shares to be issued including the number of new shares exchanged for each LVRT share.

Of course the sum may be well over 4p.

Alternatively if the new co is regarded as unattractive or is never formed, rather less than 4p!
