Recommended Cash Acquisition

of

Latchways plc ("Latchways")

by

MSA UK Holdings Limited ("Bidco")

(an indirect wholly-owned subsidiary of MSA Safety Incorporated ("MSA"))

to be effected by means of a Scheme of Arrangement under Part 26 of the Companies Act 2006

Scheme becomes effective

On 1 September 2015, the Boards of MSA and Latchways announced that they had reached agreement on the terms of a unanimously recommended cash acquisition pursuant to which Bidco was to acquire the entire issued and to be issued ordinary share capital of Latchways (the "Acquisition"). As outlined in that announcement, the Acquisition was to be effected by means of a Court-sanctioned scheme of arrangement under Part 26 of the Companies Act 2006 (the "Scheme").

Latchways and MSA are pleased to announce that the Scheme has today become effective in accordance with its terms. This follows the Court's sanction of the Scheme at the Scheme Court Hearing held on 16 October 2015.

Scheme Shareholders on the register at the Scheme Record Time, being 6.00 p.m. (London time) on 15 October 2015, will receive 1,100 pence in cash for each Latchways Share held.

Cheques and crediting of CREST accounts for cash consideration due under the Scheme will be despatched and take place respectively within 14 days of today, the Effective Date.

The cancellation of the listing of the Latchways Shares on the premium listing segment of the Official List and the cancellation of the admission to trading of Latchways Shares on the London Stock Exchange's Main Market have been applied for and are each expected to take effect at 8.00 a.m. on 22 October 2015.

Unless otherwise defined herein, capitalised terms and expressions used in this announcement shall have the meanings given to them in the Scheme Document sent to Latchways Shareholders on 16 September 2015.
