How sad to Lads reduced to this. PTEC get £75m for a failed digital initative when they supply Coral as well. How weak, should have told them they would lose out on supplying going forward if they did not settle for zero.

Big dividend cut.

Excellent programme on BBC1 about Britain's bookies - focused on Coral's. I thought it was a very balanced piece and gave some insight to the industry.

In light of all the M&A activity, I wonder if they are going to make a move for BPTY.


I really don't follow Lad, so apologies if that sounds like a daft question as I can see something above about M&A activity with Coral...

Reading the data concerning the planned merger it is clear that Coral will be the senior partner in the combined entity. If it is a merger and not a takeover then there should be no substantial rise in the share price of Ladbrokes.
I am surprised that the management of Ladbrokes seemed to have accepted the terms of the merger without asking Corals to provide any incentive (e.g. a 20 pence per share sweetener to Ladbrokes shareholders for their agreement).

There has been a hint in other postings on this site that all might not be well with the finances of Ladbrokes which would indicate that this merger may be necessary from the perspective of Ladbrokes. At the present time there appears little appetite for other substantial players such as Paddy Power to get involved. Perhaps too the likes of Paddy Power believe it is not in their best interest to get involved because the Monopolies and Mergers Commission are likely to force Corals to sell shops where they and Ladbrokes are the only players in town This has the hallmark of being a Morrisons and Safeway revisited.

Reckon a Rights Issue is highly likely if the deal goes ahead. Imo the new CEO would have been looking at ways of strengthening the balance sheet anyway, even without the Coral merger, so this presents the perfect opportunity.

Plus add in to the mix the uncertainty over whether there will be a rights issue prior to the merger and at what price....

I think the only thing thats for certain is that a merger would be highly beneficial to both companies - but whether its beneficial to shareholders is another matter entirely! It should be, but there are many unknowns at this stage, which is probably why the share price rose a bit but has then stagnated.

With a takeover for a cash (or even shares) its relatively easy to tell whether you've got fair value. However, with Gala we have a private company using Ladbrokes as mechanism to list on the LSE and complete a reverse takeover in the process.

With a takeover for shares where both companies are listed, one can readily see what value the market is placing on both entities prior to the announcement. However, Gala is private - a black box. I would expect Gala to issue income, balance sheet and cash flow information to the market if a formal bid is made, along with details of the issue (how many Gala for each Ladbrokes share etc). Then we can make up our minds.

However, I can't see LAD shareholders accepting a bid that values it at less than the current SP, unless it issues an update suggesting trading has seriously deteriorated.

As a value play, the real estate for the betting shops alone is substantial. However, I wonder about the intangible asset. How much is there for goodwill? What is the Ladbrokes brand worth? Finger in the air anyone?

hllpri, you'll see this all time. Every trade has a buyer AND a seller. The market price moves in order to generate the greatest volume of trading.

Ladbrokes increased significantly in price.
On Wednesday there was a surprising fall in the
share price. Today also there has been a fall in
the share price. The surprising thing though is that
on both days that the number of shares being bought
was greater than the quantity of shares sold.
In normal trading there would be a rise in the share
price and not a fall.

One possibility is that traders are trying to seek out
weak holders by placing doubts in their minds.
