11/7/2012 12:01 | Further to the announcement made on 29 June 2012 regarding the suspension of the Company's ordinary shares from trading on AIM, the Company announces that it has received a loan amounting to an aggregate of GBP310,000 from Paul Bell. The loan is unsecured and does not accrue interest, arrangement fees or settlement fees. The funds have been used by the Company as interim working capital until the equity fundraising is completed. Due to the fact that Paul Bell holds 23.8 per cent of the issued share capital of Kellan, and is therefore a substantial shareholder, the receipt of the loan constitutes a related party transaction as defined by the AIM Rules. The Directors, having consulted with Merchant Securities Limited, the Company's nominated adviser, consider that the terms of the loans are fair and reasonable insofar as Shareholders are concerned. But the major shareholders have kept pumping money the company has issued CLN's and they take ordinary shares in lieu of money for interest payments. Whatever happens without growth in core revenues this is bust. Think the bank covenants are on the wire - one little slip up and they could breach them. "Today 15:36sharpnik this is screwed2.75Sell" "No real growth strategy, lacklustre management well past their sell by date, high staff turnover as a result . This is as close as you get to being able to trade, whilst on the verge of being insolvent. This needs major funding, a placing will mean existing holders are diluted to virtually nothing. Make or break time here. The accounts being delayed should sound alarm bells. Previous accounts had a severe qualification and if anything trading must have got worse due to the recession.
