In 2016 ISS, a shareholder governance agency, questioned the independence of the Chairman, Simon Miller, on account of his position as Chairman of Brewin Dolphin, currently the Company's largest shareholder. The Board does not consider this to be the case as he is non executive in his duties and therefore has no influence on the investment process in either company. The Board believes that Mr Miller is entirely independent. However, to avoid this question being raised again in the context of the AGM this year, Mr Miller has resigned from all of the Board's Committees with effect from 10th October 2017. In future he will attend Committee meetings by invitation only.

As a consequence, with effect from 10th October 2017 Paul Meader has become Chairman of the Nomination & Remuneration Committee and Gailina Liew has been appointed as Chairman of the Management Engagement Committee.

Also with effect from 10th October 2017, Philip Taylor, the Audit Committee Chairman, has further been appointed Senior Independent Director.
