Grant of 2017 awards to Directors under DBP and LTIP
Joules Group plc ("Joules" or the "Company") announces today that it has granted awards over ordinary shares of 1p each in the Company ("Ordinary Shares") under the Joules 2016 Deferred Bonus Plan (the "DBP") and the Joules 2016 Long Term Incentive Plan (the "LTIP") to the Directors as set out below.

The vesting of the DBP awards is subject to ongoing employment with the Company. Subject to the rules of the DBP, the award will vest on 24 July 2020 and remain exercisable until the tenth anniversary of the grant date.
The vesting of the LTIP awards is subject to ongoing employment with the Company and the achievement of performance conditions based upon Joules' earnings per share in the financial year to May 2020 and the level of revenues derived from international sales in the financial year to May 2020. Ordinarily, the awards will vest (subject to the achievement of the performance conditions) following the publication of Joules' annual report and accounts for the year ended May 2020.
Each award under the DBP and LTIP has been granted in the form of an option with an exercise price per share of GBP0.01.
Given Tom Joule's shareholding in the Company, the DBP and LTIP awards granted to him may, on exercise, give rise to an obligation to make a general offer under Rule 9 of The Takeover Code (unless a waiver of this obligation was granted to Tom by The Takeover Panel and approved by independent shareholders). As such, a resolution to approve such a waiver may be included in the Company's Notice of Annual General Meeting to be sent out to shareholders in due course.
