Very Interesting.
No gtee that yield will continue - directors may conserve cash although I suppose it is one way of getting some out now (directors) in case worse happens!
I will give you a 5th option -
If I was Oak tree I would attempt to buy the company. Market cap is 6 million. Will drop to ????if IRE loses case. Lets just assume that offer is 9 million - 50% above todays val - Oaktree win control - then drop case - liquidate and ret cash to shareholders - profit 5 million plus. (or choose a figure between 1 and 10 instead of 9!!!!)
Any one else agree!
Option 2 - dragging it out is crazy for ire given the roll up penalty.unless you must be assuming paying out everything in Divis. Not sure they can do that. surely auditrs will insist on some provision at some stage.

the odds are now in favour of a purchase (@-70p)

imho, either:

1. they will settle out of court now that the HOL decision is in, for much less than £9m
2. waiting for the case to go to trial will drag on for years, meanwhile ways of hiving off value to shareholders will emerge
3. they will win the case
4. they will lose the case

I ascribe odds of 40% to '1', 30% to '2', 15% to'3', and 15% to '4' - meanwhile yield of 8.5% pa and potential sharp uplift from trading is in for nowt!

Trouble is with this case the liabilty is escalating so quickly that it will exceed shareholders' funds within a year or so. Personally, I think they should have stumped up a few million out of court a few years ago. It's too late now. Win, and the shares are worth at least twice the current price. Lose and it's all over!

Yes.Incredible mess. The lawyers must be lovin it.
Barristers like Doctors - all different opinions.
What price a share is it a win win situation?
with 14 million euro off the assetts of 18million? leaves 6 million euro. divide by shares 72 million, give or take a few euro does that make it 70p a share and are legals in the 14 million?
Keep relying on legal advice "no material loss expected so no provision" - bloody good lawyer or........????. May as well make provision and play safe if any doubt - shares are already well discounted.

Agreed. All seems to come down to whether or not the Chairman knew of the "poison pill" agreement. A full trial will be costly and last a long time. Meanwhile the contingent liability rolls-up by 2% a month. What a mess. At 14m euro's it is now 75% of shareholders funds......that does underline the fact that no board in their right mind would sign-up to such a deal! The company has to go to trial in my opinion, otherwise they may as well just hand the whole company over to Oaktree.

Yes. I went.
Sorry missed your post Colan before meeting. The case was obviously high profile. How did you read the meeting? There was no suggestion that the legal advice was anything but authoratative and the `impressive ` directorate have not made provisions - again. Chairman was naturally cautious in his comments but his demeanour was optimistic.
The question was asked is it `all or nothing` - the answer Yes! Is this the final judgement - Yes , no other road left.
Hearing date is as set, judgement may be a little longer!!!
Shares down on a couple of sales ex divi as well.
Shareholder present had visited buildings in Brussells and came back with some encouraging comments.(Was that you in the red pullover?)

Lots to play for. Any barristers on the thread?
IRE won once, Oaktree responded on appeal (technicality?), IRE take case back to House of Lords. Hearing set for May.
Several statements from Board saying firmly no provisions, no expectation of material loss?
Will it reach the Court?
Legal opinion need. Help!!

At first sight looks like a nice company, all depends ofcourse on legal outcome.

Nice NAV (especially if you include unrecognised gains)
Nice dividend
Unsure future development if suceed in legal action

Unchanged dividend as reward to loyal followers for staying in! Encouraging annual report today. Still massive discount to assetts & the Brussels market is looking good. Nail biter till May!
