26/8/2009 21:22 | Used to own loads of this from 108p right down to eventually selling at 53p and lost a packet. 2 days on leader board and wonder why? Guess curiosity got the better of me. As far as I could remember preference shares (PS) were issued twice, 80m in the 2nd lot at 50p each but worth 100p in a takeover. And these PS would have to be redeemed 1st before ordinary ones and there are many millions of them - many more than 80m if memory serves me right but please refer to previous RNS rendering the ordinaries virtually worthless as INGG had huge debts unless of course these had been paid off since. Peculiar to see 2 RNS today showing sales of these PS for 25p a pot. If their redeemable value is 100p in a takeover why were they sold for 25p and NOT at at least 50p, the issue share price Very strange. | bethany3 | |
26/8/2009 21:14 | The same shareholders who took up the convertibles are the ones who own the ordinaries. This is the key point. Although the ords (INGG) hold circa 40% of the voting rights, a good chunk of that 40% is held by the same people as hold the convertibles (INGC). So the ords can't block a deal. The convertible holders can vote through anything - including an offer of 1p or less for the ords. And if there isn't a bid, the prefs get more and more voting power with each passing year - the 7% PIK coupon. The ords almost surely have negligible value. The convertible terms include redemption at 100p (the intended redemption price in 2015) on a takeover. They haven't risen because the company has a load of debt and so the conv holders would probably have to accept less than 100p on a soon takeover. Plus the company was "in a bid situation" for over a year during 2007-2008 and nothing ever happened, so the insitutional market is sceptical. | charlie | |
26/8/2009 18:46 | lordwilson- Slightly wrong on the institutions. They would own more convertibles than ordinaries as more were issued. The same shareholders who took up the convertibles are the ones who own the ordinaries. They would be happy to write off the ords as long as they could double their money on the convertibles. I think ords hold 40% of voting rights. I think they will come to a compromise and give the ord holders a token amount just to get the deal through quickly. | nickcduk | |
