Some are @ 500% profit cant blame them really.

I think people are missing how the shares are structured with this one, prefs hold all the weight and get paid before everyone else, not sure what will be left for holders of the ord's. Prefs trading @ 34p and get min of £1 if there is a takeover so have just purchased some of them

What a ridiculous Rns !

They have just announced 3 deals in recent weeks, the market cap
is tiny so surely they have the brains to work out why the price
has risen !

It's if they dont want the price to get too high, bet this "third party"
is connected to the board, they want the company on the cheap.

tried to get an idea on year-on-year revenue growth in the mobile gaming segment
Found a recent example (from another company, based in the Philippines), dd 18.8.09:

"In the same meeting, Dennis Valdes, PhilWeb president, reported record results for the first half of 2009, including P228 million in net income.

He said the company projects that growth will accelerate in the second half of the year, propelling net income to a total of P584 million for the full year 2009, twice last year?s net income of P292 million. "

Used to own loads of this from 108p right down to eventually selling at 53p and lost a packet. 2 days on leader board and wonder why? Guess curiosity got the better of me.

As far as I could remember preference shares (PS) were issued twice, 80m in the 2nd lot at 50p each but worth 100p in a takeover. And these PS would have to be redeemed 1st before ordinary ones and there are many millions of them - many more than 80m if memory serves me right but please refer to previous RNS rendering the ordinaries virtually worthless as INGG had huge debts unless of course these had been paid off since.

Peculiar to see 2 RNS today showing sales of these PS for 25p a pot. If their redeemable value is 100p in a takeover why were they sold for 25p and NOT at at least 50p, the issue share price Very strange.

The same shareholders who took up the convertibles are the ones who own the ordinaries.

This is the key point. Although the ords (INGG) hold circa 40% of the voting rights, a good chunk of that 40% is held by the same people as hold the convertibles (INGC). So the ords can't block a deal. The convertible holders can vote through anything - including an offer of 1p or less for the ords.

And if there isn't a bid, the prefs get more and more voting power with each passing year - the 7% PIK coupon.

The ords almost surely have negligible value.

The convertible terms include redemption at 100p (the intended redemption price in 2015) on a takeover. They haven't risen because the company has a load of debt and so the conv holders would probably have to accept less than 100p on a soon takeover.

Plus the company was "in a bid situation" for over a year during 2007-2008 and nothing ever happened, so the insitutional market is sceptical.

Slightly wrong on the institutions. They would own more convertibles than ordinaries as more were issued. The same shareholders who took up the convertibles are the ones who own the ordinaries. They would be happy to write off the ords as long as they could double their money on the convertibles. I think ords hold 40% of voting rights. I think they will come to a compromise and give the ord holders a token amount just to get the deal through quickly.

I stand corrected Keya the ords will be worth something as far more held by the institutions than I realised and they will have to sign off any future deal ! apologies !

Prefs still come first , so should be an interesting play .
