Directors' recommendation

The Company has received irrevocable undertakings from its two largest shareholders, Investec and the IdaTech Employee Benefit Trust, which together represent approximately 77 per cent. of the Ordinary Shares of the Company, to vote in favour of the Cancellation.

The Directors have undertaken a review of both the advantages and disadvantages of maintaining admission of the Ordinary Shares to trading on AIM, and have concluded that the Cancellation and the Re--Registration to be in the best interests of the Company and the Shareholders as a whole and most likely to promote the success of the Company.

Accordingly, the Directors unanimously recommend Shareholders to vote in favour of the Resolutions to be proposed at the General Meeting as they intend to do in respect of their interests representing, in aggregate, 2 per cent. of the Ordinary Shares of the Company.

Does not sound good - Could this lead to a total cancellation of the contract ? Anyone any direct knowledge ?

an Indian telecommunications company, BSNL, to re-tender a multi- billion dollar
infrastructure programme, into which IdaTech expected to sell several hundred

New Distribution Agreement with ACME

IdaTech plc (AIM IDA.L), a global leader in the development and manufacture of clean and reliable extended run backup power fuel cell products for telecommunication applications today announces an update on the status of the supply agreement between IdaTech, ACME Group ("ACME") and Ballard Power Systems Inc. ("Ballard") signed in October 2008 ("Supply Agreement").

On 23 September 2009, the Company announced that a milestone in the product acceptance process, due in October 2009, was likely to be missed. The Supply Agreement allowed an extension of the product acceptance process of up to 6 months if IdaTech elected to submit an acceptable remediation plan by 15 November 2009. IdaTech did not submit such a plan and today announces that the Supply Agreement between IdaTech, ACME and Ballard terminated effective on 15 November 2009.

In place of the Supply Agreement, IdaTech and ACME have entered into a Distribution Agreement ("Distribution Agreement") for ElectraGen* backup power products. Under the terms of this agreement, ACME and IdaTech will work together to develop the Indian telecom market for back up fuel cell systems and in particular for the large scale deployment of the natural gas fuel cell system, which was the focus of the original Supply Agreement. The natural gas fuel cell system will incorporate the Ballard liquid cooled FCgenTM 1300 stack

In the current climate, there must be worries about whether they can raise working capital from the market or Investec to support them.

Growth in sales, but costs also high (R&D, relocation, etc.).
Cash burn around $23m annualised. cash left $2m.

"Investec, IdaTech's majority shareholder has indicated its current intention to provide financial support for the Company. IdaTech may seek to raise additional funds in due course."

Looks a bit of a cliffhanger.

FY Results lack a 'wow' aspect, nothing new in the way of contracts or orders ... at least two are expected before long.

Also dreaded fundraising possibility ...

... the Group is expected to require
further financing in the future.

So no rush to buy.

The Company is also working to position itself to take
advantage of regional opportunities, such as the Federal Communications
Commission ruling in the USA, which requires wireless and landline operators to
install emergency backup power for the vast majority of their base stations
commencing one year after the ruling is approved.
