07/1/2003 10:08 | RNS Number:8485F IAF Group PLC 07 January 2003 IAF Group Plc (the "Company") announces that it has entered into a conditional contract to sell its building in Kiev known as 6 Ivana Franko. The property has been held for resale as outlined in the Chairman's statement in the Annual Report and Accounts 2002. The sale is structured as a sale of the special purpose company (Aphrodite Investments Limited) which holds the property for a total consideration (including repayment of inter-group indebtedness) of US$1.7 million (compared with a book value of #1 million). The consideration will be adjusted at completion to reflect items such as rent and service charge outstanding or paid in advance, etc. The consideration has been paid into an escrow account in London. The Purchaser is an affiliate of certain of the tenants of the building and will be carrying out its own due diligence. Completion is set for 15 April 2003, but the Purchaser can withdraw at its discretion at any time until 29 March 2003. If the Purchaser does withdraw then arrangements have been agreed for affiliates of the Purchaser to rent the building at the current rental terms until 31 January 2005. Subject to completion the net proceeds after expenses will be used to reduce the Company's overdraft and fund certain other working capital requirements.
