Vesting of Awards under the

HomeServe 2008 Long Term Incentive Plan (the 'LTIP')

A number of Directors and PDMRs have acquired shares following the vesting of shares under the LTIP.

The awards were granted on 23 June 2014. The Performance and Matching awards were subject to a performance condition relating to comparative total shareholder return which was measured over a three year performance period. This period has now ended, the performance condition has been assessed and awards have vested in full.

The Restricted awards were not subject to performance conditions.

Awards were structured as nil cost options or as conditional awards and were exercised or vested on 28 June 2017.
