Exercise of share options/ Transfer of Treasury Shares

Headlam Group plc ('Headlam') announces that on 10 July 2017 share options granted under the Headlam Group Savings Related Share Option Scheme on 11 May 2012 at an option price of GBP2.38 per share and on 8 May 2014 at an option price of GBP3.81 per share were exercised on reaching normal maturity.

A total of 13,390 ordinary shares have been transferred from treasury stock for the purposes of employee share scheme allotments, comprising 2,521 ordinary shares at 238.00 pence per share and 10,869 ordinary shares at 381.00 pence per share.

Following the above transfer of treasury stock, Headlam held 563,879 ordinary shares as treasury shares.

The total number of ordinary shares in issue (excluding shares held as treasury shares) was 84,799,864. Therefore, the total number of voting rights in the Company is 84,799,864.

The above figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules.
