Exercise of share options/ Transfer of Treasury Shares

Headlam Group plc ('Headlam') announces that on 6 April 2016 share options granted on

10 May 2013 and 5 May 2015 under the Headlam Group 2002 Savings Related Share Option Scheme at an option price of 274.00 pence per share and 340.00 pence per share respectively were exercised under the good leaver provisions.

A total of 1,131 ordinary shares at 274.00 pence per share and 205 ordinary shares at 340.00 pence per share have been transferred from treasury stock for the purposes of an employee share scheme allotment.

Following the above transfer of treasury stock, Headlam held 904,315 ordinary shares as treasury shares.

The total number of ordinary shares in issue (excluding shares held as treasury shares) was 84,459,428. Therefore, the total number of voting rights in the Company is 84,459,428.

The above figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules.
