So, small shareholders, defined as those with up to 50k shares, have the option of being bought out in full at 82p.

if you take up the tender offer, you will not be entitled to the 2p dividend announced today in final results.

from tender offer rns:
"However, Hasgrove Shareholders by tendering their Ordinary Shares in full will have no future equity participation in the Company. To the extent that there is any payout in respect of the Deferred Consideration, Shareholders who tender all their Ordinary Shares will have no participation in such Deferred Consideration. They will also not receive the dividend of 2.0p per share as announced today."

i think the 82p offer is pretty miserly, especially as you don't qualify for the dividend if you take up the offer. but with the proposed de-listing from AIM, they are somewhat forcing our hand.

my initial reaction is one of disappointment.

Does look low but still a profit. Was hoping for a similar outcome to DWN a few years ago, as I mentioned previously.

Hmmm they have sold their biggest division grumpthorpe....so as I say not surprising if results a bit later than planned.

If remaining biz's do £7m turnover that's pretty much the median for AIM companies.

Thou talketh a load of all xxxxxx IMVHO.

January update said results issued in April. I can't see them coming out between now and midnight.
Is this what we get with AIM companies?
It seems to me we are left with some very small businesses barely worth a quote.

I shouldn't get too het up about results. There must be a fair bit of untangling of Amaze results and getting proforma numbers for the resulting biz. Don't think they'll show anything interesting anyway.

My best guess is on-going biz with turnover 6.5-7m and small losses.

Since Dec yr end we'll have £15.3m from Amaze sale, profits from Amaze Jan 1 to date of sale (300k?). Looking forward a further c £1.3m Interel payments due July.

So about £17m cash vs £17m market cap and the two remaining biz's turning over 6 or 7m plus any extra received for Amaze sale (up to £9m) in for free.

I hope and rather expect we'll see a £10-12m cash return.

Hmm, I've emailed the CEO before and got a mail back straight away.

Results should be tomorrow as they have said 'April' imo.

Up today ahead of them, no trades showing so a larger one being worked perhaps.

Rather disappointingly the company have deemed my email enquiry, which asked for guidance on when they anticipate releasing final results, not worthy of responding to... rather ironic for a "digital and communication services group" as they like to call themselves. IR not high on their agenda it seems.

However I am sure I will forgive them if they announce in due course a nice fat special dividend to be paid out of the Amaze disposal proceeds.

Obviously TD Waterhouse got that wrong. Hardly any trades the last few days until a 15000 buy (?) at the end of today. Perhaps that was in anticipation of an update on Monday.

No Notice of Results rns yet? They have always issued one in previous yrs.

EDIT - I have emailed the company today asking for guidance on when they anticipate releasing final results. I will update if/when I receive a response.
