Grasshopper Investments plc (AIM: GRA) is pleased to announce that it has: i) today provided bridge financing of 1 million to GoIndustry AG ("GoIndustry"); and ii) entered into Heads of Agreement to acquire all or substantially all of the issued share capital of GoIndustry (the "Acquisition"). The bridge financing is being provided today by way of subscription by the Company for 1 million subordinated loan notes 2007 of GoIndustry. The entry into any agreement by the Company for the Acquisition is conditional, amongst other things, on satisfactory due diligence being undertaken on GoIndustry. The consideration for the Acquisition would be satisfied entirely by the issue of new ordinary shares in the Company to the shareholders of GoIndustry and admission of the Company's enlarged share capital (the "Group") to trading on AIM. As the Acquisition would constitute a "reverse takeover" under the AIM Rules, the Company's ordinary shares will be suspended from trading pending publication of an AIM admission document in respect of the proposed enlarged Group. GoIndustry is a global leader in auction sales and valuations of used industrial machinery & equipment. GoIndustry combines traditional asset sales experience with innovative eCommerce technology and advanced direct marketing to service the needs of multi-national corporations, insolvency practitioners, dealers and asset based lenders around the world.
