20/4/2004 08:54 | From last results LONDON (AFX) - Gibbs & Dandy PLC said its 2003 pretax profit rose 14.3 pct to 4.48 mln stg, driven by a 7.5 pct increase in sales to a record 55.5 mln combined with strong cost control. The builders merchant said 2004 has started steadilyand that it will continue to make progress, with many customers reporting a "healthy" pipeline of work. Earnings per share were up 13.4 pct at 37.2p from 32.8p the year earlier. The company is proposing a final dividend of 8.0p, making total for the year of 13p per share, up 18 pct on 2002, aside from a special dividend paid in April 2003. The company said John Dandy is retiring as chairman, and from the board of the company, and his immediate family shareholdings are being placedwith investment institutions. Christopher Roshier has been appointed non-executive chairman, it said. The company is also giving voting rights to the non-voting 'A' ordinary shareholders and creating a single class of voting shares to bringits share structure into line with current practice. 'A' shares will also be entitled to the final dividend. To compensate existing ordinary shareholders for the resultant loss of voting control over the company, there will be a bonus issue toholders of existing ordinary shares on the basis of 1 new ordinary share for every existing share held. | pictureframe | |
