Monies received. Hadnt spotted them as they were in the US$ part of my account...! Glad i chased as they were only paid on 19th July. Time to put this cash to good use.....

Received today from TDW.

"Thanks for your email regarding the Gatekeeper Systems merger.

I have raised this with the back office who process these payments and they will chase it today. As with a takeover there is no set deadline for the funds to be paid. However, hopefully this should be received soon. Please check your USD or GBP balance online for this as it will show there as soon as it's received"

Not a huge amount of help and does not answer why other shareholders seem to have been paid in March but will await further.

Mine are with TDW too. I have already emailed them and got the standard 48hr response reply so expect an answer by tomorrow at latest. Will let you know.

Thanks. Have you seen on the other GKR thread below this one that another holder seems to have received his money on 28th March. I have hence emailed my broker to enquire.

I hold Gatekeeper and saw the announcement in April that we would be getting US$0.33 per share but dont recall seeing money come in? What date did you receive the funds?

Yes, unfortunately I still have a few of these tucked away. Do you have any news on when we will be paid the US$0.33? I would have expected it by now but have not heard anything.

Gatekeeper Systems Inc has merged with Belgravia Acquisition Corporation with effect from 8th December 2010.

Under the terms of the merger, Gatekeeper shareholders are expected to be issued with a cash payment of USD0.33 in exchange for each share held.

Belgravia Investors LLC recently completed the takeover of Gatekeeper Systems Inc via a cash merger under Sections 253 and 262 of the Delaware General Corporation Law. The proceeds have now been released to entitled holders.


How has my portfolio been affected?


You have received a payment of US$0.33 for each Share held. Please note that the cash was received in US Dollars and was converted from US Dollars to Pounds Sterling on the day of receipt, with US$1.00 being equal to 60.43021p pence. As a result you have received 19.942p per Share.

I notice that the previous tender offer was oversubscribed by about 4m so they are clearly trying to pick up the remaining weak holders shares on the cheap. I would expect that all tenders at 10p will be matched in full rather than scaled back like the 20p tenders.

('Gatekeeper' or the 'Company'), announced today that it has extended the expiration date of its offer, dated 15 August 2008 (the 'Offer'), to buyback up to 2,500,000 of its issued and outstanding Common Shares at a price of £0.20 per Common Share, net to the seller in cash. As extended, the Offer will expire at 1.00 P.M., London Time, on Monday, 29 September 2008, unless further extended.

As of 15 September 2008, 6,324,526 of Gatekeeper's Common Shares have been tendered pursuant to the Company's Offer. Gatekeeper has extended the Offer to provide its Board of Directors additional time to evaluate increasing the number of Common Shares subject to the Offer in order to accommodate stockholders who have tendered their shares or desire to tender additional shares."

Letter from broker:

Gatekeeper Systems Inc has announced that it is offering to buyback 4,500,000 of its issued and outstanding shares by way of a Tender Offer, at a price of 10 pence per share.



Shareholders can elect to tender any number of their shares held as at the close of business on 24 November 2008 (Record Date). If the total number of tendered shares exceeds 4,500,000 shares, then elections may be scaled back pro rata.

IanBrewster, It has delisted. Payout day for the tender offer is Monday 13th October, although it may take a couple of days to hit nominee accounts.

because you will only get 20p for a fraction of your holding - implies that the remainder is worth less than the current share price
