Compaines complete offer for Chiquita

Two Brazilian companies have completed their tender offer for banana producer Chiquita Brands International Inc. Charlotte-based Chiquita agreed in October to be acquired by investment firm Safra Group and juice company Cutrale Group for approximately $681 million, or $14.50 per share. The companies had put the transaction’s value at about $1.3 billion, including the assumption of Chiquita’s debt.

Cutrale and Safra Groups announce acquisition approval

The Cutrale and Safra Groups have announced that the antitrust authorities of the Ukraine have notified the parties of its approval of Cutrale-Safra's proposed acquisition for joint control of Chiquita Brands International, Inc. on December 31, 2014. Cutrale-Safra has also made a notification filing with the antitrust authorities in Honduras as required under applicable law and has entered into arrangements to address the exercise of control over Chiquita's Ecuadorian operations pending receipt of approval by the applicable authorities in Ecuador. On that basis, Cutrale-Safra has determined that the condition relating to receipt of certain antitrust and regulatory approvals has been satisfied. The consummation of the tender offer remains subject to other conditions, all of which the parties expect to be satisfied.

As previously announced, the tender offer is scheduled to expire at 12:00 midnight, New York City time, at the end of the day on Monday, January 5, 2015, unless further extended or terminated. Cutrale-Safra expects to proceed expeditiously to close the acquisition promptly thereafter.

I can tell people the whole history of this stock....just buy into this great company who is expanding and growing through 10,000 hectares of Banana Plantations. And that production area is still expanding.

Analyst target: 1.4 Euro/share..My target post takeover perhaps 150p.

High growth share with dividends that will keep paying out!..

HI mrx9000, this is one of my top holdings at the minute and like you say it is cheap based on current trading..

Based on its strong first half performance and continued positive trading conditions early in the second half, Fyffes is increasing its target Adjusted EBITA for the full year 2014 to the range €38m-€42m, from €30m-€35m previously, and compared to €32.7m in 2013.

The chiquita deal would have made the combined group the largest banana producer in the world but alas a later offer from Cultral /safra a brazilian orange juice co spoilt the party. As part of a penalty clause for the deal not going through we can expect a possible one off dividend payment with the proceeds.

Not bothered we didn't succeed as with hindsight we may do better on or own or with another tie up if one comes along.

Profits growing, dividend growing, at the last AGM they renewed the authority to repurchase up to 10% of the co's shares and we are now seeing them in action. Targets increased and trading on a multiple of below 10 makes this very cheap for be but as ever dyor.

This company has popped up on one of my screeners. As a newcomer to this share can anyone tell me a bit of history. It looks to be a good value play? Just wondering why it looks so cheap? I see a recent takeover never went ahead?

Excellent progress...the CEO said last April that he was pleased to see the share price above a pound where it is fairly valued. Now that Fyffes are buying back their own stock shows they are confident of the future and expect considerable growth and market expansion through disaffected Chiquita customers. Target 115p imo.

Well Fyffes will view this as a real opportunity to gain markett share in the EU and America. Rock on Fyffes.

Ed Lonergan the CQB CEO is being given $18 million USD as part of the takeover deal by Cutrale/ Safra Groups.

But Fyffes will be eyeing the $24 million compensation payment.

Circuit on Monday to block the release of 23 boxes of financial documents that allegedly detail the company's 1998 to 2004 payments to a Colombian paramilitary group, arguing that it would give an "unfair advantage" to plaintiffs in multidistrict litigation lodged by family members of the group's victims.

Chiquita says the U.S. Securities and Exchange Commission’s decision to grant a 2008 Freedom of Information Act request from the National Security Archive will unfairly jumpstart discovery in a separate Florida...
