enami: Aye looks OK dividend maintained and to be paid before the recommended Resolution takeover. The key terms of the Acquisition include: * total consideration of GBP1,858 million (based on a Resolution Share price of 88.25 pence as at close of trading on 7 August 2009); * 0.9 of a New Resolution Share per Friends Provident Share; * cash consideration for up to the first 2,500 shares held by each Friends Provident Shareholder at 79.4 pence per Friends Provident Share; * total cash consideration of up to GBP500 million at 79.4 pence per Friends Provident Share (including the cash consideration in respect of up to the first2,500 shares); * total consideration representing 69 per cent. of adjusted EEV as at 30 June 2009; * transfer to a primary listing on the Official List of the UKLA at completion;* inclusion in FTSE index expected to follow completion; * Friends Provident interim dividend of 1.3 pence per share to be paid before completion of the Acquisition; and * Resolution to commence paying dividends from completion - currently expected to pay a final dividend of 2.72 pence2 per Resolution Share in respect of the second half of 2009.

diku: I would have thought that if you owned 1000 shares...then the split would be 900 FP shares and 100 F&C shares!...or is the fall in the share price today reflecting the extra shares value of F&C?...so the net worth remains the same but you have shares in both companies...though a very tiny in F&C...

laugher: Why £1.09 Wrightey? Looks like an offer of 0.9 of a Resolution share, which stood at 88p, so that would make the offer nearer 80p per FP share, and of course only the first 2500 shares (or so) will be cash. Or am I missing something?

enami: I totally missed the RNS relating to the posting of the demerger circular. For those interested here is the link http://www.friendsprovident.com/doclib/fc_demerger_circular.pdf FCAM shares closed at 79.75 today so effectively it will be 8p per FP. share distribution.

harry v derci: Andrew you have a good point there,only time will tell I suppose Adrian,the overall worth of your shares in both companies will be the same until the split and FPs share price should reflect any increase in the strength of FCAMs share price.

andrewbaker: (Life/pension) insurance companies are financials just like banks: only they don't get found out so soon. You pay them a premium over years, and maybe don't die, so they profit, or you do but enough newer policyholders don't so they still profit, or too much is paid out to those that do, but the premiums of those that don't hide the fact (Ponzi anyone?) Or, even though you get a yearly statement, you don't notice how bad the return is (after charges particularly) until you want to draw on the proceeds. Or maybe the return has been good to you at the expense of later policyholders who still have some time to go to their "maturity" (with profits Ponzi scheme). However, eventually, the house of cards will fall: new premium payers can't indefinitely pay for the returns of the older ones. So, my point is, punt life insurers short term only. The day is coming soon when they are found out, and their share price crashes.

LONDON (ShareCast) - Shares in Friends Provident (LSE: FP.L - news) recovered some of yesterday's heavy losses after Panmure Gordon upgraded its recommendation on the insurer to 'buy' from 'hold'. Panmure said that the almost 11% slide in Friends' share price - which came after JC Flowers said it will withdraw its proposed 150p a share offer unless Friends enters talks with the private equity group by 18 April - was over done. Panmure noted that Friends' share price would bounce if talks with JC Flowers recommence, but would not lose much value if JC Flowers abandons all takeover attempts. The broker keeps its 135p price target.

harryg: Is it correct that £30 million (1.3p per share) has been set aside for the Interim and that the final dividend will be a further £60 to £70 million making a total of £90-100 million (4.9 total per share) for the full year. At the present share price that is a 4.33% yield- not wonderful but better than some others. Are my figures correct or have I got it all wrong!! Why do posters think that this could rise to 100p in the near term whilst market sentiment appears to be turning down again (in the US the rally was not maintained) Andrew Who are in the frame as likely predators for FP?
