b)	Nature of the transaction	An award of nil cost options over 240,693 ordinary shares in Elementis plc, made in accordance with and as permitted under LR 9.4.2, to replace certain 2015 and 2016 equity-related awards forfeited by Mr Hewins following his decision to join Elementis. This award is made as a stand-alone arrangement but borrows from the terms and Rules of the Elementis plc 2008 Long Term Incentive Plan (as amended) ("LTIP"), except in relation to the vesting profile. This award is subject to the same EPS and TSR performance conditions as the awards made on 4TH April this year to other senior employee participants of the LTIP and will also ordinarily vest on 4TH April 2019.
