No need for that type of language. You've now seen the inaccuracies in the RNS that I was expressing. I in turn can see why the share price would collapse another 50% if what you were saying actually occurred.

This was sent to Lucy and Duncan at Peterhouse this morning, absolutely no response from them but the confusion is apparent everywhere you look. Perhaps others need to complain, I haven't been fooled into investing but others may have been, yesterday and this morning....

"Good morning,

I write to ask you to clear up something that seems quite confusing and possibly incorrect information in yesterday's Dukemount Capital PLC RNS number 5035F, issued at 13.16hrs on the 4th March 2024.

This statement seems confusing, I believe the £0.001 refers to the nominal value of each share and not the price it was sold at, as the consideration would be £900k is that was the case? Should this be made clearer?

"Following admission to trading of the Subscription Shares, Mr Gazzard has agreed to sell the Subscription Shares at £0.001 to new investors for £150,000 ("New Investors")"

Then further in the RNS the disclosure details for the disposal of 900m shares by Paul Gazzard states the price to have been £0.001, in sections 4c and 4d. If that were the case and the statement above is correct that Paul Gazzard received £150k for the 900m shares, then where is the other £750k?

I really think this needs clarification as my reading is the 900m shares were sold for a consideration of £150k and so the price sold at was not £0.001 and this needs to be amended."

"They have converted at 0.1p"

Don't put words into their mouths. What they said was that the shares were subscribed for at 0.10p meaning that there was a buyer. The whole case rests on this.

Furthermore the shares are the property of DKE not PG so I'm not even sure how he managed to convert and sell them on. The RNS indicates that he had personally taken on the debt for DKE how is this?.

A suspension of trading would not surprise me.

I think you need to consider market cap, not share price. Its never going back to pre-dilution figures.

The nominal value of DKE shares is £0.0010 (0.10p) therefore shares cannot be issued below this price.

The shares are being sold at 0.10p. That's where the share price will fall to or slightly lower.

However that is not the real danger here. Like ICON they were only allowed to remain on the standard list if they intend to do an RTO. Any sharp rise in the share price from here and the FCA will suspend the stock to protect investors. There is only one way the stock will get unsuspended that's if DKE publish a prospectus valuing the company at £30 million or £6 million to move it to the AIM.

Do not touch this at any price.

Published today, negative assets, very little cash, Chesterfield having to convert at 0.65p the price they sold their shares and loaned the money back (it would be very dodgy on Geoffrey if they converted at anything less than that price). It really doesn't mean the share price should be 0.65p, the other lenders are getting converted at nominal value 0.1p...
Some seem confused by the £30m RTO rule, it means the Company subject to the RTO must be worth at least £30m, if DKE do RTO with someone the dilution will be massive on existing DKE shareholders. They will end up with a neglible slice of the pot and may well be then diluted out by a share consolidation. Caveat Emptor!
There were a lot of traders hyping this before suspension, I expect them to continue on any relist, a pump and dump of massive proportions so watch out.
How much is DKE worth negative assets of about £1.5m and an LSE listing, how much would a listing cost at the moment, when IPOs are scarce and so fees will be keen by advisers/brokers. DKe isn't even in the Energy sector so that would need to change and a prospectus would be needed to do that. They will need more cash to continue....

But if you look at the time of the trade, 14:55:10, you would see the quote at that time is 0.52p - 0.55p and that makes the trade a bleedin' obvious sell. The DKE share price fell 11.3% on the day too, another bleedin' obvious sign of selling. Oh, and the trade price of 0.511p was the 4th lowest of the 68 trades that day, how much more obvious does it have to be, it was a bleedin' sell.
