Not sure what to make of it. Merger = Good, but the fact we give away over 1/3 of the company doing it is definitely bad. They only have 33% approval so far, not alot really. Im voting against.

Is this company for real.....making losses after losses and top guys pulling in 800K plus.....and they have Blue chip investors now...what is going down ? or more seriously ...is there some sort of game plan here????????????????

see above lengthy RNS release of 24/03. Circular due to go out w/b 28/03.
They appear to have notes of acceptance from around 35% of shares.
Still by no means a done deal.

hi there,

darias - yes there was a date but i dumped the notice as it was simply to convene and defer the meeting

everyone - there will have to be a meeting before long - issue which needs to be asked about is the stainforth and other directors payment related to the placing at 125p(?) - we did not know at the time of the placing that the stars were getting paid for putting the deal through - this transaction suffers from A CONFLICT OF INTEREST and there may be an action against stainforth (referred to in other places as stainless for good reason) and the others - why ? come on guys n gals - if you have a chance to get your hands on a pile of greenbacks or readies what would you be prepared to tell the mugs who would make the deal work ? this is about plans/forecasts compared to results and we all know just how bad the results were - did stainless and his little friends have any information to make them think again ..... ?

i guess i'm not near enough to know but one of you bbs might be.....

Excellent news. I am voting against. Strongly suggest everyone E-mails info@durlacher.com saying they will too. Anyone not "incentivised" by there salary and giving 100% effort should be sacked. Simon Hirst included.

Did I miss something? Why is the stock not trading any more? I have loads and the value is showing 0.00. Was there a notice sent or what happened. Can anyone help?

hi there - just got my invite to the agm - such as it is

firms like Dur give corporate and governance advice to business - if the notice is anything to go by they fall well short of acceptable standards

the letter states that the agm has to be held in march 05 as that is the fifteen month limit since last agm in december 03

wrong - an agm must be held in EACH CALENDAR YEAR and not more than fifteen months after the previous one.......

And again a mention in the Independant today. I think one of their Journalists must be a small shareholder as they appear to be the only paper who report anything at all.:

"Bids for Durlacher

The public relations officer for Durlacher rang to shout at Small Talk for the piece last week which questioned the value of its merger with Panmure Gordon.

We reported a rumour doing the rounds internally about the one-third slug of the combined company being given away to employees, namely that 25 of the 33 per cent will be split among four top executives, two from Durlacher. Simon Hirst, chief executive and one of those two, told staff on Monday that the rumour was way off the truth, which is good to hear since it would represent a massive incentive for him to pursue the Panmure Gordon deal over any other which may emerge. On which subject ... we are told that a number of informal bid approaches were made for Durlacher last year. The existing merger deal may not be the only game in town."

Yes I agree that we need to see the prospectus before finally deciding; the director's might be buying their shares, for example? If not, they are being just plain greedy imho? Shaft the existing Durlacher shareholders?
Anyone who has shares in nominee accounts, as I do, needs to contact their account managers now and ask for the information to be sent on. Mine have agreed to do that.
PS. I shall phone Durlacher as well, for more information.

Im waiting for the prospectus to read through before deciding. I might call them as well to try and speak to one of the directors to ask whether his salary incentivises him, and if it doesnt perhaps he would like to work somewhere else then!

It depends on the offer whether shareholders agree it or not.

If the company is valued at 100m then clearly we are going to agree it but if the new share puts the value of the company at 60m then there may be problems.
