Needless to say I will not be voting for my pre-emption rights to be gifted to TW's mates.

No it will not. At the end of the day it depends on how many mug punters fall for this investment vehicle.

What a disgraceful and unprofessional comment to make. Any company that was serious about expanding its business globally and rewarding loyal shareholders will at some point require the assistance of professional advisers who work in the City of London.

Fairdeal2008 - Just whisper it in my ear, promise I won't tell anyone. Forecasting is a waste of time anyway. You guess how it will go and hope you are right. If silver does well in 2011 then hopefully so will we. My hope is that money moves out of gold and into silver, but at the end of the day it will depend on how TW performs. Good luck to us all anyway and have a good Christmas.

Fairdeal2008 - Don't blame you in the least for that attitude. It's a shame really because it might well encourage investors if they knew how many were confident enough to have big sums of money here.

knowsleyman - Only a couple of weeks before we get some news, and the share price seems steady at the moment.

As to Kenny and Colin, there is a prime example for not owning 3% of a company. They have had a lot of flack even though they had the decency to say they were leaving and why. I don't know how many they have left here but I can certainly understand them keeping quiet. There are probably a few here that will be slipping out now the price has risen a bit. I still hold all mine and only a few weeks before I find out whether I got it right or wrong. Nothing worse than a share with no news, other than a share with bad news obviously.

An hour to go and we can give up watching share prices for a few days. Have a good Christmas all and good fortune for 2011.

I wonder if the last trades yesterday was part of Kenny or Colin waving us goodbye?

Interesting that there is a total lack of RNS announcments about the changes in shareholding that we have been told about and seen the transactions go through. I wonder what is behind that?

knowsleyman - NAV, Webclubs has to have some value and I agree that proceeds from any sale should not be counted as a gain under TW's agreement. The actual financial value would be small anyway but I take your point. As to the French tax losses, I would be happy for the company to pay 15% of any money received from those. Also worth bearing in mind that TW gets 15% on the shares not held by his funds which he estimated to be about 25% of the company. So 15% of 75% of the NAV increase.

The issue of £30,000 of new shares would be for raising new capital and I would be happy with that bearing in mind the following answers from TW on the subject.
a) Any funding must be non dilutive- i.e. at a premium to NAV
b) A rights issue/ open offer is a very expensive process – one that passes wealth from investors to greedy City advisers – and should thus be avoided.

I did notice that TW says "at a premium to NAV" and not a premium to share price, which is fair enough.

As to overseas investors being discriminated against, I am not sure that is the case. My guess is that my chances of being involved in future cash raising are no better than yours and I live in the UK. I would think that TW will be raising cash as quickly and cheaply as possible, thus the £30,000 shares issue at the EGM.

As to TW having the sole investment decision, that's why he is here surely. Last thing we want is to wait for a BOD decision if an opportunity pops up.

As to Martin Kiersnowski, he would appear to be the company's biggest expense as his salary was £104,000 in the last published accounts. I would expect that to be lowered as basically TW will be doing most of the work, which also answers your point on whether he (Martin Kiersnowski) is the right man for the job. Not relevant if TW is making all the investment decisions.

I am presuming that TW already has enough votes anyway (theory, no facts to support it) as no-one has got back to me from DXR to tell me where I can get a proxy form. I would have thought it would be in the circular to shareholders but I can't see it unless it's supposed to be on the blank last page.

I don't disagree with any of your points and am just putting forward my view of the situation. Anyone else want to chip in?

I wonder just how many have troubled themselves to actually read the circular and digested exactly what it says?

Firstly I had expected there to be reasonable statement as to just what the current net asset value is. Instead we are just told how much cash is being held by the company.

We know that in the last audited accounts the value of Web-clubs was shown as Nil. We have no idea what value is placed on it in the Management Accounts.

Should they also be Nil then any amount raised by the sale of that 12.2% stake will be deemed an increase in NAV for which TW will receive 15% of for doing sweet FA, other than arrange a sale.

Exactly the same position applies to the French tax losses.

We are being asked to agree to dis-application of pre-emption rights and allow for £30,000 of additional shares to be issued. That is the issue of another 7,500,000 shares, part of which is to pay T1MS, but what are the rest for?

It would appear that TW is going to have the sole investing decision without any reference to the Chairman and other Director, unless it would take the Company's holding to more than 25% of funds. Do you find that acceptable?

What is the amount of cash to be held for the day to day running of the company?

Why have we had no change of Company's registered office and telephone number, at the moment it is still that of Dawnay Day?

Bearing in mind the duties of a Chairman of a company being totally changed in direction I must ask is Martin Kiersnowski the proper man for the job?

Since I live in Cyprus and am deemed an overseas shareholder I take exception to being selected against.

For my part I will vote For 1 & 2, Against for 3 & 4 and For 5.

Any further observations would be appreciated.

PW - Good point. Makes me feel a lot happier being here. It was no fun being here during the Landers period.

I am trying to get details of proxy forms for the DXR EGM on the 7th January 2011 and will post any contact details here when I get them. I personally am happy to support any changes that help us get started, and whether you share that view or otherwise sending in a proxy form at least gives you a say in events.

Most directors would not give you the time of day because they are actually running companies and their business associates is their main and only focus. For these directors small private shareholders are nothing but a nuisance.

In the case of TW, small private shareholders ARE his business associates. So do not be surprised at how quickly and frequently he responds to your emails.

vikingben - AHG is a few weeks ahead of us here and we have yet to get info on more than one of 15 investments. I would have thought we would be getting a NAV RNS there soon which might give us an idea of how much info we will get here in the future. I don't see any great advantage to TW in keeping the info secret unless he is doing ongoing buys or sells in a stock(s). We have seen at DXR what boredom can do to a share price and I am sure TW will be aware of that.

rafboy - yes, egm is 3 weeks from today at 11am, so allow 1 hour for the meeting,
so by noon tw should be making the 1st investment's,
I'm sure he will have done all his research prior to the egm,
will they rns which co's we are invested in???????

I know he is a the ceo at angm, angm have had one delay after another, but have now gone into production, the share price is still strugling, so put a bit in here.

67,567 gone through PLUS at 3.7p. Looking better, and very encouraging to those of us who held our shares. Trick now is to think carefully if the price gets to the point you can get out without a loss.

i have been watching dxr for a couple of month now, ever since nick hall became a director, seen it spike and slide back down, hope this is as far as it will go
