BA - you really need to listen to CM. Pop down the building society. This is no place for the faint hearted. Perhaps the board really believe that this is in the interests of all shareholders. You don't have to agree but the statement explained it all whether you want to accept it or not. IMHO you don't have a cat in h*lls chance with the takeover panel. 'Fair' is open to interpretation and their case is good on the numbers.

Prove manipulation of the share price and you have a case. But you can't so you will not win IMHO.

As for MPS - I find your postings 'short of substance' to be honest.

This has been a really good board for a long time and it is a shame that the takeover will see an end to it. Good job the best posters are active elsewhere. I hope to bump into some of you again although as telematics goes the pickings are getting thin and devoid of quality.

I am sick and tired of dodgy deals done behind ordinary small shareholders backs ,and then present them as fait-accompli. To anyone outside without any knowledge of Cybit ,they would think that 75p sounds reasonable ,without having all the facts at hand .
Its only fair if you bought this year , at the manipulated price.In my case I am quite lucky that I will break even after chancing my money with the stock market mafia . Other people should be warned of how the stock market REALLY works.
Take the case of Cybit, the board hatches this scheme . They consult and agree with the other main shareholders ,and the rest of us are kept in the dark .
Exactly what is really going on is open to speculation .

I will be writing to the Takeover panel ,and it will be interesting to hear their reply . They are supposed to make sure that ALL classes of shareholders are treated fairly .

BA I do not see anything unfair about the treatment of small shareholders in this offer.
As a shareholder I am voting yes to the takeover. Also the directors who own 6.4% of the company seem to think it is fair and will be voting yes. The offer seems more than reasonable to me and is at a substantial premium to the 36p price this share was trading at prior to the offer.

So would most people investing in funds and pensions ,through the institutions . ( average 6% return is not much better than investing in building society bonds ,currently paying 5% ,safe money and access in a reasonable time frame.)

If you want to make money out of the stock market ,one needs to adopt a smash and grab attitude ,being decent is a huge liability ,as things stand .
Risk I can handle ,but not Gipsies Tramps and Thieves - its a song by the way .
Proper legal rules cant be far away for the stock matket.

AS FAR AS CYBIT, VOTE NO AND OBJECT TO THE COURT AS UNFAIR TREATMENT OF SMALL SHAREHOLDERS ,ON THE 08-01-10 . ( ITS OUR ONLY OPPORTUNITY )

I also suspect that I am the only genuine small share holder on the Cybit bb here ,but have no proof . I have lost interest in Cybit now and in some ways glad to be disinvesting in the stock market . I should really be grateful to the board for not selling us down the river as per usual . Thank You.
I am planning to be a validated user soon ,so I will still keep you amused by posting information that others may find useful ,from time to time .

If 26% vote no ,I am not sure whether to be pleased or not.

So MPS would have to merge with Cybit BEFORE the vote in order for your conspiracy theory to hold water - are you SERIOUS!

Making stuff up with no supporting evidence only works 2.46% of the time. LOL.

The small shareholders DO control far more than 50% of the shares - take a look at the list of big holders. Crikey.

Very entertaining stuff but the reasons this is being done are pretty simple.

Now since you are a regular poster here and I have made the reasons perfectly clear in this and on the other thread ,I suggest you REREAD my posts.

MPS would suit Cybit's "scheme of arrangement",because of the 70% MPS institutional holding and with their support would achieve the necessary 75% of Cybit's "scheme of arrangement" for it to succeed. The financials of MPS are of no importance in the bigger picture. MPS looks like a done deal anyway ,if not with Cybit ,then someone else, but Cybit WILL merge with someone thats for sure in my opinion,otherwise this "buy out" is a smoke screen for some other reason .
The market can move figures around to suit any situation they like ,and only makes sense to an outsider if they can interpret the bigger picture .

I have a feeling that the small shareholders control more than 50% of Cybit but do not realise this. We could buy out the institutions and management if we had the right tools available.Perhaps they are frightened that if any half decent offer for Cybit came along that we would all jump at it ,and who can blame us .!!
There may be an opportunistic offer on the table right now ,but subject to conditions.

BA - why keep going on about MPS here? Cybit would be mental to take on such a company IMHO. If you think Cybit's valuation suspect, would you not think the same of MPS? I don't see value there for Cybit and don't understand why you think that you do. Perhaps you think the cash from Francisco will burn a hole in their pocket?

Too late , because I think Cybit will be suspended next week , pending statement re MPS . THIS IS ONLY MY OPINION .

Merry xmas all,

Dont eat/drink too much because your body can store fat 10 times faster ,than you can burn it off by exercising . If you eat a mince pie ,most of it will become fat overnight ,but it will take 10 days of slightly more exercise than normal to lose it .

If you are that concerned, I suggest you take the 72.5p you can currently get why risk the 2.5p. You can move on now the choice is yours do not blame others should it return to 40p.

With the Government planning to use tracking devices ,to enable close monitoring of people as an alternative to prison ,and compulsary tracking for cars , "to mitigate CO2" emissions ,not to mention security applications for home and abroad ,it would seem obvious to me that most established telematic companies would benefit . This is only my opinion and you should make up your own minds .

There was no mention of what Mr Horsman's future plans are ,but a job in the security services would suit his talents ,in my opinion .
IF the above become a reality ,then the tracking companies have to be out of the public eye and out of the country's legal system . So any information of the tracking co's activities remain private and confidential .

Getting rid of the small shareholders on the cheap is a bonus .!!

Interim results out today. Pretty good reading. Looks like the company is being taken out on a PE well below 10. Not generous.

If there were no management buy out ,the interim results would have been different and an upbeat statement made ,for sure .
The contracts that were assigned in September included Tesco and Asda ,amongst others ,but no mention of them ,why not ?
And who gives away plum contracts anyway ,all seems very strange .

Thanks sd - I have already accepted, and will be unimpressed (to say the least) if action by others prevents me from collecting and moving on to better things. The gang who are 'now' talking about crazy valuations should have been filling their boots at the 25p level, available 9 to 10 months ago, and right up to the announcement at the 38p level. Some of us did. Remember, something is only worth what a willing buyer (with cash in hand) will offer for it. Happy christmas!

Mixed results. Profit up, but revenues down. Cash up but forward profits from leasing down. Truck 24 and AB up but bluefinger down.

Having said that, with GP% improving and overheads down theyre are superbly placed for an upturn. Will the upturn arrive and when is he question?

I would have expected the share price to remain at the 35-40 level on these resu;ts.

Take the 75p offer in my opinion.

OK ,so the Interims accounts have been published , but the accounts SHOULD have been prepared by an indepedent auditor .
If someone was trying to buy the co on the cheap from the small shareholders ,thats the sort of accounts they would publish in my opinion .
If the CEO is leaving ,then it should have been made public before the take-over announcement .
Its quite obvious to me that you only published the UNAUDITED accounts in exchange for irrevocable support from a share holder ,but I could be wrong .
I URGE ALL SMALL SHAREHOLDERS TO VOTE NO AT THE MEETING ON 08-01-10

Perhaps we can persuade the court to appoint an independent valuer .
