RNS Number:1232R Culver Holdings PLC 18 September 2000 Culver Holdings plc ('the Company') At an Extraordinary General Meeting of the Company held today, the resolutions approving the demerger of the Company's travel interests to World Travel Holdings plc, the acquisition of Aerotech Systems, Inc. and amendments to the Company's Approved Employee Share Option Scheme were duly approved. The acquisition of Aerotech Systems, Inc. was completed in accordance with its terms and 1,300,000 new Ordinary Shares of 25p each in the Company ('Ordinary Shares') were allotted as consideration in accordance with the terms of the acquisition agreement. Pursuant to the exercise of options granted under the Company's Unapproved Share Option Scheme as announced on 25 May 2000, the Company has today allotted 675,585 new Ordinary Shares to optionholders. The Company has been notified by Mr A J Biles and Mr G D Asprou that, following the exercise of options over 256,667 and 55,000 Ordinary Shares respectively and sales today of, respectively, 53,231 and 10,000 Ordinary Shares at 350p per share, Mr Biles and Mr Asprou are interested in 456,553 and 45,000 Ordinary Shares respectively, representing4.3 per cent. and 0.4 per cent. respectively of the Company's issued share capital. Application has been made to the United Kingdom Listing Authority for the new Ordinary Shares to be allotted as consideration for the acquisition of Aerotech Systems, Inc. and on the exercise of options to be admitted to the Official List and to the London Stock Exchange for those shares to be admitted to trading. It is anticipated that such listing will become effective on 19 September 2000. All of the new Ordinary Shares referred to above will rank pari passu in all respects with the Company's issued Ordinary Shares. Providing market codnitions are favourable over the next few days (split taking place on 20th) is this not an undervalued situatuion. 3 WTH @ 110p =330p + warrants @ ??? & residual in Culver estimated @ 180p-260p. Yes I know the WTH holding could slip on its IPO price but it is fully underwritten by Credit Lyonnais and there have been good uplift on IPo's recently. -I do own shres in this company - DYOR buying etc. | matthewa | |
