INTERIM MANAGEMENT STATEMENT AND INITIATION OF STRATEGIC REVIEW

Cookson Group plc, a leading materials science company, releases its Interim Management Statement regarding current trading, financial position, recent developments and outlook ahead of today's Annual General Meeting as well as the initiation of a strategic review. The Statement covers the period from 1January 2012 to 16 May 2012.


Overview
-- Trading for the first four months for the Group as a whole has been in line with internal expectations. Despite the previously identified continuing losses in the Fused Silica business, Group trading profit was slightly ahead of the equivalent period last year; management's expectations for the Group's full year performance in 2012 remain unchanged
-- 'Bolt-on' acquisition of Metallurgica completed on 29 March 2012 -- Disposal of the US operations of the Precious Metals Processing division completed, as planned, on 1 May 2012
-- Strategic review initiated to consider a number of options, including a potential demerger or separation of Cookson's two main divisions
-- Christer Gardell, Managing Partner of Cevian Capital, to join the Board as a non-executive Director

Well done Peter, I'm retired and live in London with a Freedom Pass, so I might try to bulls..t my way in with a print out of my Selftrade Buy document. Even if I don't get in it'll be nice to be near the seat of power, it will cost me nothing to get there.

Anyone going to the AGM tomorrow, I got a reply from Selftrade saying how I had to phone to get an invite to the AGM and how long it would take, in the end I didn't bother

Big article about Cookson in the the Sunday Times about shareholders voting against the pay package of directors on Thurs AGM.

It mentioned a big shareholder(sorry I can't remember the name) voting with the management but didn't mention Cevian (which has 20.01% of all the shares now)

Will it help or depress the SP?

Robert - believe me a report from pirc would not result in that reaction. Put it down to market woes or whatever but I can assure the reason for the drop is not the pirc report. I used to work in this precise field and believe me pirc could have no effect upon any share price! Robert, general market did fall a lot on Friday so rethink that is far greater factor!

Wooster, I hope you are right, but then what caused the massive drop on Friday(down 45p, -6%) following the biggish drop on Weds(down 23p on the day), which contained the 14.5p ex div.

I was sort of hoping the PIRC report caused Fridays dive then with a bit more thought it might recover on Tuesday, but if PIRC's report isn't important..............

Thanks Robert, yes it might be worth popping in here occasionally to catch up.

You are of course right about share buying those years ago. I think then our 'mentors' were always in it for the long term and bought solid cash rich investments over the years. Sometimes I think that wasn't a bad strategy although they would never have survived the banking crisis.

Also, you were never allowed to gear up snad spread bet unless you could prove years of experience in trading. Now you fill out a box online and you're away. I wonder how many youngsters got fleeced in this way!

I wouldn't worry about the pic report. They carry very little weight when it comes to advising inst investors how to vote. Investors pay far more attention to abi and napf, who are not calling for the board to go.

Thanks BobP, it's strange we don't get a message from Selftrade asking us if we want to attend AGMs a while before they are due. You would think the companies concerned would want more participation.

Are most private investors in these internet companies now(Selftrade, III, ect, ect)? I expect you are old enough, like me, to remember going into your bank and asking them to buy shares and the reverse when you wanted to sell, both times you only had a rough idea of the price before dealing.

In some ways it too easy now, it doesn't seem like we are spending real money when we buy at best or even worse at limit(and have forgotten you have the limit open when it strikes)

Nice on this board that you don't have to argue with all the load mouth as in the Barc thread. I enjoy your cut and thrust there and I'm sure you do too.

Hi Robert, hope this post finds you well. I drop in here occasionally to see how CKSN are going as this was the very first share I bought back in 1992 sometime. Sold many years ago but good to see it still going.

Hope you didn't get stung too much on Friday and knowing CKSN it will bounce back at some stage.

I'm also with Selftrade and asked for a letter re another company a few years ago. I had a result calling their customer number (non trading). They still take you through the usual security but I had it a couple of days later.

The more I think about this PIRC report I think it is many years out of date, the dividend is now increasing greatly each year, the profits are up each year, the share price is up considerably.

Yes some years ago there was rights issues and share consolidation because of bad decisions but then was the time to complain not now when things are so much better.

I've just emailed Selftrade my Cksn shareholder to ask if I can get entry into the AGM on the 16th

I wonder what will happen on Tue with the SP, has it further to go down, will we see a dead cat bounce first or hopefully a look at the fundamentals inc dividend and we will be back to 740p by the end of the week

Well spotted Gargoyle, I wish I'd read it before the market had opened on Friday.

Ho Hum, the only saving grace was I was going to raise my limit buy price on Fri, before the market opened, as I had watched Cook's share price bob up and down over the last few days and I thought Cevian might buy some more shares and push the price up.

Why do you think Cevian is not mentioned a big Cook investor, is it because it may not be on the share register yet?
