i got a mail from my broker today telling me that they intend to issue me with a certificate for my CMS shares since as they state "it is highly unlikely that we will be able to trade in these shares in the future"

suggests to me that this is indeed a dead duck

ah well you win some......

pc - I expect the directors will buy the IP(assuming it still has some value) for a token amount and then it's lights out.
I'll be amazed if they manage to do anything with the shell, in the current market climate...

And shouldn't they have put out some interims during suspension?

I'm going to try and speak to Bob Antell this week. The company has until around 20th January 2008 to conclude a reverse takeover!

Time is ticking away on this and still not a squeak.
The MVL is looking to be the conclusion to this company.

You would think that the management would bring the
MVL forward but then again they probably wish to
squeeze as much as they can in salaries before they join
the dole queue.

7 Sept 2007 RNS Trading Statement

Further to the announcement of 27 July 2007, the directors of CMS Webview Plc ("Company" or "CMS") would like to provide shareholders with an update on the Company's current position.

On 27 July 2007 Ian Donald Williams and Anthony Peter McQueen Benedict of Benedict Mackenzie LLP, 62 Wilson Street, London EC2A 2BU ("the Liquidator") were appointed as joint liquidators to the Company to administer a member's voluntary liquidation, a key factor of which is that the Company is solvent, which remains the case.

As previously stated on 28 June 2007, the Company is open to corporate deal opportunities with companies that might find significant value in CMS's 'clean' balance sheet and its proven TDI data management product or in realising the value of CMS's intellectual property assets.

Specifically, discussions have taken place with companies that view a listing, via means of being reversed into CMS, as an advantage and key stage to their future growth objectives. With the help of the Liquidator attempts are being made to identify a suitable business for such a reversal.

Should a suitable business be found for reversal into CMS, this would be subject to the approval by the shareholders of CMS at an extraordinary general meeting, which would be convened by way of a circular setting out full details of the business being reversed into the Company.

In addition to negotiations regarding a potential reverse of a business or company into CMS, discussions are also continuing to take place with organisations that may have an interest in the licensing rights (exclusive or otherwise) in CMS' proven data management product; TDI.

Further announcements will be made in due course.

Two thirds through and no more news, so the MVL looks to coming.

mb - It is dormant rather than dead.
The liquidation of its assets is supposedly in hand with the objective of leaving a solvent cash shell. It reports that it has had discussions about a rto.
I would personally consider (compared to my purchase price) that it now has negligible value but this would probably not be true for recent buyers and I doubt that your tax office would allow offset at this stage. (No harm in trying.)
If there is subsequently no return to the market and no payout to holders, it would seem reasonable to claim a loss as at the date of suspension - being the last date on which market realisation of a loss was possible.
That may sound reasonable but I don't know the tax law - You would have to negotiate the position and get a ruling.

I was having a chat with someone yesterday regarding the route CMS have taken with the MVL etc.

Thier opinion was that it was a great move. They are now free to discus an RTO with other companies without the fear of the deal being scuppered by the rumour of a deal pushing up the share price which then destroys the possibility of anything going through.

This happened before with CMS when a company was on the brink of signing and then rumour got out and the share price trippled.

I know that CMS are talking seriously to a couple of companies and that things are looking positive.

Should not have to wait too long to find out if any of them take the next step in the process.

isis - surely its a bit soon to be passing judgement until you see the detail - £5.4m of tax losses so any sale of the IP & TDI would likely be tax free. Not sure what cash they have left but anyone who got in before suspension will probably make 2-300% easy IF things go to plan - not bad for holding 6 months.

You seem to think this is an ongoing Company it is not, it will be something completely different if anything at all. I hope you get something back but don't make out it's something it's not.

Any decent Company would float by themselves, these reversals are done because they have no track records and don't need to go through the normal rig-ma-roll.
Stop kidding yourselves, look what happened to CWV which was constantly ramped on here.

This co is not an indebted shell (they don't really exist in the non-trading state as they would by definition be insolvent) but it is a virtually empty one. Hence the inevitable requirement after reversal would be a large issue of equity to "purchase" the reverser with massive dilution or perhaps subscription costs if there is a rights or open offer rather than the more likely placing. While this might be a good opportunity for those who bought sub 1p, it will not reimburse those in from ~10p or so. (imho)

'most' companies seeking a reversal are also in a lot of debt and therefore attract companies looking for a listing that would struggle to get one in normal circumstances. CMS has no debt, it is a clean shell and can therefore get a better deal as there is no debt to factor in to the numbers.

We 'could' end up with a very decent company coming in here to get what would be a cheap entry into the market for them.

There is a good chance holders here could see a decent return IMO.
