It's a ten year loan , if it was a five year loan it will have been set up as a five year loan. It was not.

CBUY could pay his loan off with a new loan from another party.

In any event repayment is not required for 42 months.

So you admit you lied about it being 10 years? There is quite clearly an option after 5 years. He isn't likely to convert at double the share price but he might ask for his money back and if the Company can't pay him he can take the Company...

I also like you have changed to say that is in 3.5 years time, you seemed to imply yesterday that only a year had gone....

As for the last bit, these are neither options or warrants so that paragraph does not confirm anything.....This is what the RNS said,

"Future Mr. Roberto Sella to have the right,
Investment but not the obligation, to participate
in future equity fundraising by
the Company at 80% of the price
of other investors up to the end
of the Term "

The loan is due for repayment in ten years,with an option after 5.

From today's date that's 3.5 years away.

If the loan holder wants to convert to shares they will cost him over twice today's share price.

If the loans are not converted then the holder will not get any new shares at 20% off. (.Bar his holding today.)


"I had wondered to what extent Mr Sella would be allowed to take part in future equity fundraisings at a 20% discount to other investors, and whether this included shares issues upon exercise of warrants and options. We are told that the 20% discount right will be at least equal on a pro-rata basis to his shareholding in the company, and that it does not apply to warrant and option exercises. Good"

Sella's loan can be called in after 5 years

If after 10 years the Company cannot repay the loan amount and any interest then he can convert the loan to shares at the price of 1p

The Duncans have options over 487,500 at 1.75p the rest of the Director's options are at 6.5p and 10p.

If they exercise the 1.75p ones that would raise £8,531....

Can you evidence that last bit, only I think like the first three points is isn't correct....

You wouldn't be trying to mislead would you???

That is neither all "signed up" or "25% of the market" as CCGs differ very much in size...


Finally cash at 30th June was £1.47m

Loss for H2 2016 was £2.07m

Loss for H1 2017 was £1.49m

How much do you see them having left for the Christmas party????

Will they wait until after New Year or will they go beforehand????

Sella has a loan out payable in ten years from last year.

If he wants shares in exchange they will cost him over 6P.

The directors have options if extra funding is required.

If NHS/SBS has signed up 25% of the market funding will not be an issue

How about reality....

They haven't got enough funds to see them through to breakeven. Dilution will be immense from these levels. Then the little point of who would fund these knowing another larger investor will get a 20% discount.....

Sella takes it through the back door or it goes to the wall....

It once was a great idea, but through poor implementation they have failed to deliver.....

You have to listen to Tara Kemche.All this research is sound and explains why the prize prat has been loading up with shares,lol.

Top tip Tara.If you are trying to convince others at least try and back it up with your own convictions.Otherwise you just look like a little conman trying to sell the shares you bought around the 2.5p region

It was as you well know , ( to your cost ) that my research produced a 72, and a 240 bagger.

Back to CBUY.

100,000 PHB'S are worth £7BN.

NHS/ SBS /CBUY are on target to pick up fees of 2% on at least 25% of that £7BN spend.

Hence my belief that this stock will soon reflect that.
