He isn't likely to convert at double the share price but he might ask for his money back and if the Company can't pay him he can take the Company... If the loan holder wants to convert to shares they will cost him over twice today's share price. If the loans are not converted then the holder will not get any new shares at 20% off. (.Bar his holding today.) "I had wondered to what extent Mr Sella would be allowed to take part in future equity fundraisings at a 20% discount to other investors, and whether this included shares issues upon exercise of warrants and options. We are told that the 20% discount right will be at least equal on a pro-rata basis to his shareholding in the company, and that it does not apply to warrant and option exercises. If they exercise the 1.75p ones that would raise £8,531.... Can you evidence that last bit, only I think like the first three points is isn't correct.... You wouldn't be trying to mislead would you??? "Key Points Operational -- PHB Choices making positive progress with 25% of CCG's either contracted or in advanced discussions." That is neither all "signed up" or "25% of the market" as CCGs differ very much in size... Then the little point of who would fund these knowing another larger investor will get a 20% discount..... Sella takes it through the back door or it goes to the wall....
