I had Clipper recommended to me as an investment a while ago but I wasn't interested. Glad I avoided it now. What a shafting. It reminds me a bit of Ronson.

I agree with your sentiment re RKJ but I don't think you should be so quick to assume that everything is legal with this Offer, and also to assume that the Takeover Panel have okayed everything in the document. They have not.

I have at least two very substantive reasons why this Offer should not be allowed to continue, and I am aware of at least one other shareholder who independently has come to the same conclusion as myself about these two reasons. I simply do not believe that it is a watertight document. Far from it.

I do not wish to divulge these issues on a Bulletin Board for obvious reasons but would be more than happy to do so privately. My email:

It is my understanding that these issues amongst others have or will be raised with the Panel in the next few days by various people but the more letters they receive the better as far as I'm concerned to highlight the injustice as loudly as possible. I'd suggest it is in all our interests if as many people as possible feel motivated to write to the Panel to highlight the various inconsistencies in the Offer and hence to try and get it pulled. Writing rather phoning or emailing is always the way forward in these instances as letters demand a reply and are put on file for the future.

This would also be worthwhile even if one intended to continue to hold beyond the Offer as the more markers put down about the trustworthiness of Directors the better should they start (or should that read continue) acting wrongly in future.

Re RKJ I'm all for exposing his true colours to all who will listen. He should be ashamed of himself. A reputation ruined as far as I'm concerned.

there is no legal reason why they cant make an offer at any price they choose
however there is no reason why we have to accept
i am fully aware of my rights as a minority shareholder and will be looking
very closely at how the board behaves remuneration levels etc and any disposals
that they make

Des - There isn't a lot you can do to stop them making an offer for the company and for shareholders to accept. I would hope that they get nowhere near the 90% mark for acceptances. If they do then all our worst fears from when they de-listed will have come true. We thought Knox-Johnston might want to protect his reputation by not pulling a fast one but being a shyster of the highest order he obviously doesn't care.

If anyone feels that this is unfair then I suggest they talk to the Takeover Panel. The person familiar with and responsible for this particular takeover is Mr Richard Butterwick and the switchboard number is 0207 3829026.

IMO it is definitely worth identifying specific issues where one believes there is or has been unfairness or wrongdoing and then speaking calmly and rationally about these things with Mr Butterwick instead of just ranting at him.

i am happy to be a thorn in their side this is a tiny holding for me
but it is the principle that matters.
the more that pass up on the offer the larger voice we have as a minority
to me this looks like pure greed.
