20/2/2017 12:21 | Thanks we will see as you can tell I am a LTH but my average is only 0.725 so I am in profit at 0.75 but my exit is about 8p as that is what I think I can achieve. Tried to disclose my holdings but as held at Hargreaves it is not me who lets BOD know (I checked with PR a few months back) For the record at Brainspark Associates neither Professor or A Villa took any salary from the day they were appointed till 2012 (still to go through the last three years Accounts) but I think they may have taken some salary from CLP but as you know you have to look at both sets of accounts as they are 'interesting' Also found some more 'interesting ' stuff in the accounts but I am only sharing that with a select few Trusted Posters. 20/2/2017 06:57 | Morning Longshanks You make some valid points and with robust questioning of both our views PI can make an informed decision. I do not claim to understand everything about CLP, I am trying to "find the missing millions" The only information we PI can utilize is what is in the Accounts, research of BOD and communicating with BOD (and Auditors) asking probing questions and holding BOD to account. Regarding BT and their Italian problems. I am sure BT pay their Auditors millions (we paid ours £28K last year) so BT have only themselves to blame for not taking their Auditor to task (I have taken ours to task and they are aware that our accounts are being scrutinized. Yes our legal claims are one of the avenues the Professor is pursuing but we have several assets that can sell and they will be sold (Professor intends to sell them all as he gets 10%) and as I have said recently Geosim is being sold and it is going in my opinion for over Euro 900K. I do recall Polly Peck (was not invested there) but there were two things that stand out with Polly Peck that I recall (but at my age I could be wrong) 1 The share price was running away and PI (and II) were chasing the share price up to dizzy heights and 2 Polly Peck were 'generating' massive profits on their fruit business that a school child could see were not sustainable from their business model. CLP is the exact opposite, share price rock bottom and generating (but only up to 2015) massive losses. Who knows? You could be correct and my 3% will be worth nothing but then again when you believe in something and have strong nerves and don't take a 10% "profit" hold firm and then one day the penny (or two) drops and the Market Makers realize this company Clear Leisure is going to deliver the LTH will be duly rewarded. 20/2/2017 03:16 | I think the bigger question is: "where did all those millions go?"Tax avoidance or not - there is no cash in this business: they have blown the entire lot on assets with questionable value, whilst overpaying narcissistic directors to perform inadequate due-diligence and portfolio management.They are chasing others for fraud and mismanagement of assets through the courts but ultimately both your respected Professor and Mr Villa are the ones that have presided over a long term gravy train that has only served theirs and not shareholder interests.The lawyers they have employed are probably friends or cronies of the BoD or the largest shareholder. They will bleed the company dry as the Italian legal system slowly works its way through the cases. Look at BT and how they are having to write off huge losses through the fraudulent activities of bosses in their Italian businesses.No mention at BT of any hope of recouping those losses through the courts.The only difference with CLP is that the legal processes are the only remaining "business activity".It is a shocking shambles of a company. It reminds me a little of Polly Peck and believe it will all unravel in time. I doubt shareholders will see any return whatsoever.I hope I am wrong as you seem an innocent and well meaning soul, RKB, and if you and others do get to see a 2p divi payout then that would at least justify buying at the current price.I don't expect it will happen though and instead there will probably be some point in the not too distant future where it will fold and be sold for a song by the administrators. | longshanks | |

In 2009 Brainspark Associates made a profit of £20,208,000 due to the ‘special loan waiver‘of £20,453 to the parent company Brainspark Plc As a result of this loan waiver our company was liable to Tax of about £5,658,000 but something interesting then happens. In July 2011 the whole BOD change. A Villa and associates come in and the Professor leaves (this is all by mutual consent) Then on 17/01/12 Brainspark Associates is stuck off at Companies House. Why? To avoid having to pay over £5.6 million in Tax. Then on 20/06/13 an application is made to Companies House to restore Brainspark Associates to the company register. It is then at this point the Annual Accounts are lodged at Companies House for 2010 and 2011(all on the same day that company is restored on the 20/06/13) What does the accounts for 2010 & 2011 show that we want to know? 2010 Loss for year of £8,347,000 and a Tax Credit of £2,337,000 and they only say ‘unutilised management expenses’ of £11 million (just as they have said for each year from 2004 through to 2010 it is always £11 million never changes!) 2011 Loss for year of £11,237,000 they publish for the first time ‘Unutilised management expenses and Capital Loses of £15.9 million and £6.9 million’ and a Tax Credit of £998,000. What does this all mean for us the Shareholders and ultimate owners of Clear Leisure? There was always a plan from the first day that the Company made a loss for the BOD to utilize this for the benefit of the shareholders. The BOD managed to avoid paying over £5.6 million in Tax. Some PI say they have a dislike for some of the previous BOD but I am now beginning to admire them as they had a plan from day one and they are just about to conclude what they started.
